Sounds a bit odd of holding the meeting on 14 December, after it was previously cancelled because of the BoS. A decision from BoS (i.e. EU) is not expected until January 2022 so logic would suggest the 14 December meeting will also be cancelled.

I suppose the 14 December meeting could be carried conditional upon BoS agreement.

Square shareholders have already approved the deal.

Either way, it has contributed toward the declining share price for AfterPay/Square and hence TSL so its good for those that consider the deal will go through.

And still provides incentive for AfterPay to buy out the rest of ClearPay by mid January

Afterpay now says it will hold its delayed shareholder meeting next week, not waiting for Bank of Spain approval, and seek court agreement to make that approval a 'condition subsequent' (i.e. takeover is contingent on the approval).

The continuing European licence forms part of Thinksmart's Clearpay interest. No word said on any conditions the Bank of Spain could be seeking from the new American owner, or the little detail of the Thinksmart negotiation.

TSL holders can perhaps expect gyrations in the next month or so. AFT shares have tracked SQ in the general tech selloff. But TSL's price has a different basis (pregnant with the outcome of that negotiation) and the shares have been steady so far.

As usual the european tail wagging the dog. However, in this case, the longer it takes the better in my view for tsl shareholders. Looking forward to the H1 APT results

Afterpay has postponed its 6 December shareholder meeting to approve the takeover, citing delay in regulatory approval from the central Bank of Spain with which it holds a licence. That approval is now expected during January.

They state that all other hurdles have been cleared, including Australian Foreign Investment Review Board, New Zealand Overseas Investment Office, Spain FDI Authority, Square [now "Block"] shareholders, and NYSE.

"Implementation is still expected in the first quarter of 2022". But it may not be wrapped up in January as had been flagged.

This deal is a big elephant to steer through. When the shares in Square [now "Block"] list on the Australian exchange it will immediately become one of the largest ASX companies, bigger than BHP. Meanwhile AFT share price is closely tracking SQ.

Simon Thompson had some positive words to say about TSL over the weekend in IC - behind a paywall on the internet - think I saw a current valuation of 151p - anyone have access to it?

6 December is an important date for ThinkSmart shareholders as that is when AfterPay's EGM is being held where they require 75% of shareholders to support the $39 billion acquisition by Square.

If successful that should provide additional confidence for the benefit of ThinkSmart shareholders. That would be the starting gun for the buyout of ClearPay.

AfterPay will start trading linked securities on the ASX on January 7th

if there is a big buy going through then there is an equally large sell.

What doesn't make sense is why anyone would sell at this price unless they had serious cashflow issues and no other source of raising revenue. Its a fairly quick 50% + return on this.

Even with a early call option there is still 50% uplift to current share price based on fair value sum of parts. This is worst case scenario in my view. Agree there may be greater value on offer the longer this plays out.
