Changes to Board and Board Roles

The Board of Directors of TBC Bank Group PLC ("TBC PLC") announces that Abhijit Akerkar has accepted a new executive leadership role with a global financial institution and has therefore stepped down as a director of TBC PLC and as a member of the Supervisory Board of JSC TBC Bank ("TBC Bank") with immediate effect. In line with TBC PLC's succession plans, Eran Klein has been appointed as Chairman of TBC PLC's Technology & Data Committee and has stepped down from his current role as Senior Independent Non-Executive Director.

Tsira Kemularia has been appointed as Senior Independent Non-Executive Director and steps down as Chair of the Corporate Governance and Nomination Committee, but remains a member of that committee. Arne Berggren, Chairman of the Board, has been appointed as Chairman of the Corporate Governance and Nomination Committee.

In line with TBC's "Mirror Boards" policy, Eran Klein and Arne Berggren have been appointed to equivalent positions on the relevant Supervisory Board Committees of TBC Bank and Tsira Kemularia has also been appointed as the Senior Independent Non-Executive Member of the Supervisory Board of TBC Bank.
