Strat Aero plc ("Strat Aero," the "Company" or the "Group")

Exercise of warrants

The Company has received notices of exercise of 218,571,428 warrants at an exercise price of 0.035p each. The consideration received by the Company will be GBP76,500.00.

The 218,571,428 new Ordinary Shares ("Shares") arising from the exercise of these warrants have now been issued, and application has been made for them to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective and dealings will commence at 8:00a.m. on 8 June 2018.

Following these transactions, the Company has 6,173,527,709 ordinary shares of 0.01p each in issue, none of which are held in treasury. Therefore, the total number of voting rights in the Company is 6,173,527,709.

The above figure of 6,173,527,709 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
