("SJH" the "Group" or the "Company")

Following the restructuring of its Payments Division announced on 5 July 2019 (the "Restructuring), the agreement between MHC St James Limited ("MHC") and the Company (the "Agreement" - as announced on 28 March 2018) has been terminated by mutual agreement. As a result, Mark Harris has left the Group to pursue other business interests. No shares in the capital of the Company have been issued to MHC under the Agreement. Graeme Paton, the Group CEO has taken direct responsibility for the Payments Division.

Graeme Paton, the Group CEO commented, "The Board would like to thank Mark Harris for his valuable contribution in establishing Market Access and seeing it through its first year. We wish him well for the future and look forward to working with Mark in the future on suitable clients."
