Prior to the Shareholder Meetings, the Company received an enquiry from the Alberta Securities Commission (the "ASC") seeking confirmation that security holders in Canada beneficially own more than 10% of the outstanding voting securities of SDX, and that SDX is not a designated foreign issuer under Canadian securities laws (the "ASC Enquiry"). The ASC Enquiry also relates to certain notifications of shareholdings in the Company made between 18 and 22 July 2022, and specifically whether the acquisition of those shareholdings and related notifications were in compliance with Canadian securities legislation. Following engagement with the ASC, an early warning report on Form 62-103F1 was filed by certain shareholders of the Company. Having taken legal advice, the Company does not currently believe that there is a material risk of regulatory action or successful litigation against the Company with regard to these issues, however there can be no certainty that there will be no regulatory action or litigation.

I sense from the inactivity on this board, or LSE and on Twitter that a lot of PIs have sold out on the expectation the deal won't go through and their brokers inability to handle the share transfer on the Canadian exchange.

Why on earth would a vote against, which stops shareholder value destruction, cause the share price to fall. I would imagine the opposite may be true?

I have seen this before where large orders are being filled hence off market transactions meaning the exchange is quiet / dead

Amazing this is still trading where it is tbh!

Cash flow this year should be very strong, lot of discoveries, if the deal is nixed a buyback, plus the not inconsiderable probability of a better bid in the near term.

Ah well!

They wanted it at 11p for much the same reasons I wanted it at just above 8p. It was really cheap and they could liquidate it for more than the purchase price + get the Canadian tax losses.

Tenza don't have the cash or production to increase the split without crashing their share price Puzzled as to why a North American company with a single asset in Canada think they know how to manage Egyptian and N. African O&G assets any better than SDX. Wonder if there could be a challenge to the current board for recommending such a poor offer.

A generalisation for sure, but AIM O&G are akin to the casino in my experience over several failed investments. Hence my rule never to go there again.

Problem is many of such entities have over paid snake oil CEO's, jam tomorrow forecasts...they usually struggle to get the resource out of the ground in a cost effective way.

PI's are also up against truly being able to evaluate the fundamental value of an O&G entity, due to the highly technical aspects of such businesses. With location/jurisdiction risk too for many etc.

There are some very good firms on AIM that trade Oil and Gas. TBH, this still is a good firm, just very badly managed.
