RhythmOne, the online advertising firm, has acquired digital video brand YuMe in a deal worth around $185m.

The company said it had paid YuMe shareholders $1.70 and 0.7325 ordinary shares of RhythmOne in exchange for each share of YuMe’s common stock.

A total of 26,122,530 YuMe shares, representing around 74% of YuMe’s stock, were tendered by the 1 February deadline.

Chief executive Ted Hastings said: “We are glad to welcome YuMe into the RhythmOne family.

“In addition to a tenured leadership team and strong demand relationships, YuMe brings premium video and connected TV inventory, unique customer insights and cross-screen, all of which are expected to augment our unified programmatic platform and accelerate growth of the combined enterprise.”

YuMe chairman Eric Singer will take up the same role in the merged group, replacing RhythmOne’s Raj Chellaraj, who stays with the AIM-listed business as a non-executive director. Also joining as a non-executive director is YuMe director John Mutch.

Current RhythmOne directors Suranga Chandratillake and Andrea Cunningham will resign once the merger completes,.

RhythmOne also updated on trading on Friday. It said the third quarter had been in line with management expectations, with growth in both topline revenue and profitability on an adjusted EBITDA basis.

On-platform programmatic revenue growth was the strongest, ahead approximately 13% year-on-year.

Hastings said he was “pleased” with the third quarter, adding that it demonstrated “progress against our targets in terms of revenue growth, profitability and product integration".

“We will maintain strong cost discipline, driving efficiency within the company with the aim of sustained profitability.”

Bmac - thank you for disclosing sikhthetech/stt1 for the dangerous guy he is on your LSE thread. At least punters have been warned.

Glad to have been of some assistance to you on highlighting his trading games, with his very own posts and trading details - of course he will tell you I have many ID's and I ramp various stocks to con people..all I can tell you my friend, I would never do that..You can check my history very easily.

I am positive RTHM and I post positive information - I do warn readers, and so does Footy that our comments are mainly positive and our money is down - but would always advise readers to do their own research and be 100% comfortable when parting with their hard earned.

1GW_, Shroder, Loaf and Bluefish are posters to be trusted on you bb's - curlykev seems to be a guy that has very quickly understood the stt1 play. Fair play to him!

Good luck my friend - we call it the family here, and it is good to stick together when faced with unpleasant guys such as stt1 - anytime we can be of help here..Footy's thread or the one I post info on will help.

...My core holding stays until it reaches my valuation. I never buy more when the share price rises. I support the stock when the share price falls around 10%, and I sell back when that support shows around 10% profit. You must have a good cash back-up.

I am very happy with my position here - we still guess real profit from September 2016..

If the F4 was challenged RTHM would we guess have the answers - do you think the Company would present a very important legal document that was full of criminal deception?

No chance!

RTHM have waged war against opposition that tried very hard to kill the deal - RTHM has won, and you have to ask yourself why the big boys felt so threatened.. and why our big holders are so confident. lol
