Perhaps AVG didn't have to declare until their locked in period was over and they were thinking of selling now...
They maybe planning to sell or reduce or have already done so...

Don't be conned by posters claiming that AVG have added as a new holder...or that they are got told this or that...lol

These are shares AVG got as part of the Perk acquisition...

Yes.

According to the Perk circular, AVG held 3,333,330 Perk shares (18%), and the R1 deal was to exchange each Perk share for 4.5116 R1 shares.

So 3,333,330 x 4.5116 = 15,038,652 R1 shares, which is the number in today's holdings notice.

One of perks shareholders locked in till a few weeks back and could of sold for a profit but didn't! I wonder why?

andy, I don't think so... my understanding is that they were 1 of the parties representing a total 39%.... I'll see if I can find the % they owned...


The 1R shares were issued to them as part of the Perk deal....

Perk's directors and senior management, and AVG Ventures, LP, representing, in the aggregate, approximately 39% of the issued and outstanding Perk Shares, have entered into customary voting and support agreements pursuant to which, they have agreed to vote their Perk Shares in favour of the Acquisition.
