Usually tax-related, or the directors have bonus on eps ;¬) But RGS can't do that amount of buying in the open market - it'd go on for ever, with all the attendant problems of expense and issues of insider trading - hence the tender. |

The Company is now principally a pure play global software business, comprising Blancco, SafeIT, Xcaliber and Tabernus, focused on maximising the considerable opportunities in secure, auditable data erasure. Change of Name As previously announced on 5 February 2016, the Company will change its name from Regenersis plc to Blancco Technology Group plc and the new ticker symbol will be BLTG. The change of the Company's name will be registered shortly and the change to the Company's ticker symbol will be effective from 8:00am on 6 April 2016. Also moving sector:: Change in Sector In addition, a request has been made to the FTSE ICB Advisory Committee for the Group to be reclassified from the 'Business Support Services' sector into 'Software' which more appropriately reflects the Group's activities. Precise terms are yet to be decided, but the most relevant paragraph is this:"If the Proposed Tender Offer Resolution is approved, it is the current intention that Shareholders will be given the opportunity to tender their Ordinary Shares for cash, and that the Proposed Tender Offer will be implemented on the basis of the Tender Offer Bank acquiring, as principal, the successfully tendered Ordinary Shares at a ‘‘strike price’’ and selling them to the Company at the same price. For the purposes of seeking the authority to implement the repurchase associated with the Proposed Tender Offer, it is necessary to set upper and lower limits at which Ordinary Shares may be repurchased. The Proposed Tender Offer Resolution requires the repurchase price to be within the range of 150 pence to 250 pence per Ordinary Share. The repurchase price (and hence the Strike Price) will be determined at the level necessary to result in the repurchase of the maximum number of Ordinary Shares while having a total cost not exceeding the amount to be returned to Shareholders under the Proposed Tender Offer and subsequent repurchase. However, the repurchase price (and hence the Strike Price) will not be set at an amount which exceeds the Board’s assessment of the intrinsic worth of the Ordinary Shares. Up to 33,333,333 Ordinary Shares will be repurchased through the Proposed Tender Offer and the subsequent repurchase (being 42.2 per cent. of the Company’s issued share capital as at 12 February 2016 which was the latest practicable date for such determination prior to the publication of this circular)." |
Posted at 08/2/2016 22:56 by cocker Investing is all about what your happy with & what strategy you use. If it were as easy as some like to think then we would all be millionaires. Running through the figures makes sense as does taking in both bear & bull points. As far as rgs is concerned, i am a buyer at these levels having bought an initial 1700 @ 177, I have since added 3 x taking my holding to just under 8k. I think we will see a re-rating over coming months as long as markets hold up. |

Its happened to me before with Heritage Oil, once the special dividend gets paid the amount comes off the share price almost immediately. Sometimes I feel the money would be better spent, either by a share back programme or to leave it in the bank for future use. |

For those of us who don't hold RGS in an ISA, I hope the special dividend is paid before April 6th when dividends start being taxed. |
