The Company has in consequence issued 121,107,242 new ordinary shares of 0.01p each ("Ordinary Shares") in the Company at a price of 0.0729 pence. This price has been calculated under the terms in effect from the original agreement following an initial six-month period where conversion occurs on the basis of an amount equal to 90% of the lowest daily VWAP over the five trading days immediately preceding the conversion notice being submitted.

YA II PN Ltd and Riverfort Global Capital Ltd. have agreed in principle to a hold period on the converted shares. The parties are in discussion on the conditions of such a hold period. While there can be no guarantee of agreement, the investors have no current intention of selling their stock, or of making any further conversion.

Aah those were the days.

If I was Bellend I would sell the RRR stake to ABM above market value, make up some horsedung about that is their true worth, then sell some other crud lying in the BS here to RRR and claim what a bargain RRR have managed to get.

But he must ensure that he is eating from three plates.

Regency Mines Plc (LON: RGM) the natural resource exploration and development company with interests in hydrocarbons, energy storage and
battery metals announces that a General Meeting will be held at the Company's premises at 71-91 Aldwych House, London WC2B 4HN on 1 April 2019 at 12 noon.

There is upside from the present share price at under 0.1p imho - *the shares are very high risk at the moment. The present question mark is the likely
continued conversions by YA Global - they may be trying to cover their options by converting half their loan into RGM shares at a 10% discount to the
average price over the last 5 trading days.
The move might be to hold shares or go for unloading as a safety recourse and recovering cash. They usually have a policy not to hold as they are not really
an Investment company in holding shares.
The risk for YA with any share is it going bust or if the share price keeps diving so every conversion means getting back less than the loan.
That's the risk they take and it all looks a reasonable bet with RGM if a slightly nervy one. Dilution is a worry for every holder but maybe
not so bad for those who are well heeled and able to average down sharply at maybe 0.005p or so. The other is to raise funds via 'Primary Bid' where those
who are quick, alert and cashed up can take advantage.
ADVFN often send emails about a Primary Bid so watch the emails and a very late RNS - getting organised is a factor here.

At the meeting on 1 April. The outcome is of course in doubt. YA will hold shares to vote as well.

Noirua still peddling hopes and dreams, jam tomorrow sound bites. Sad to see.
Same over on RRR thread. Clearly in way too deep imho.

Historic performance of this BOD is absolutely dire as it also is on RRR.

One glance at the 7yr charts shows you exactly what these guys do to shares.

Despite years of failure the BOD continue to take salaries and to expend, imho, stupid amounts, on Admin expenses.

Yearly losses from Annual Reports and amounts raised via confetti issues:

2012 - Loss of £2,112,350 - raised £907,090
2013 - Loss of £5,166,017 - raised £3,327,678
2014 - Loss of £1,508,812 - raised £1,212,805
2015 - Loss of £5,888,742 - raised £1,049,765
2016 - Loss of £1,965,722 - raised £781,595
2017 - Loss of £534,267 - raised £1,576,701

Total raised above - £8,855,634


Got to ask, how is it that the company is in such a state today? What was all that cash used for? What value was added?

Large investors are absolutely right imho to stand up and take action.

BOD should have been ousted once and for all.

That this hasn't happened is disappointing for many I'm sure.

Company is now tabling a resolution to request authority to issue up to 2 BILLION more shares here. Currently 974m in issue.

2 BILLION !!


Just staggering.


Dilution is what "Confetti Ettie" does though so investors have to learn to dodge the bullets. Not easy.


I don't trust anyone who is shameless enough to ramp POS AIM tiddlers like this.


Definitely one to DYOR with.

The move up by CZN is inline with AB's expectations. Adds a little to RGM's quoted assets - helpful. Worth £170,000 at the close of 2.25p. Shares in Red Rock are worth about £60,000. Times are difficult so any improvement is a plus.
Hopefully shareholders will see a turn round in fortunes very soon - good luck to you all.
PS: Ignore the trolls they are nasty. PPS: Maybe Hans Mende of the mighty AMCI will come to the rescue. He's very tough but good to have onside.

Financial situation looks dire according to the recent RNS. Now Bell seems to be looking to dilute his way out of the mess.




"That in addition to all existing and unexercised authorities, the Directors of the Company be and they are hereby generally and unconditionally authorised for the purpose of section 551 of the Companies Act 2006 ("the Act") to exercise all or any of the powers of the Company to allot equity securities (within the meaning of Section 560 of the Act) up to a maximum nominal amount of £200,000 "


Nominal share value is 0.01p so that authority would equate to 2 BILLION shares !!


Get ready to assume the position imho !
