The obvious questions to understand who has what drivers and who is bankrolling this process.Who owns the 80% of SRL not currently owned by LNE Ltd? They stand to make 11mm from the deal - are SRL paying their share of the costs to date or is this all being paid for by LNE Ltd?The funding by RBD into LNE Ltd: have the other 70-75% shareholders in LNE Ltd also subscribed for shares or have they just issued new shares and also sold shares to RBD (which now appear to have been sold ?) Who owns the 10% of CS not owned by SRL.Is the owner of the 10% of CS also paying their way through the current process or are they carried by SRL/LNE Ltd either now or in the future?

The whole deal is a minefield. Just one delay could cause a disaster for us.
If you look at Frascognas history you'll see he's a shady character.

they're investing it on our behalf according to the Interims and they haven't finished yet..

20.08.24 LNEnergy has also agreed to grant Reabold a warrant (the "Warrant") to subscribe in cash, at the Company's sole discretion, for a further approximately £747,000 worth of new ordinary shares at a price of £12,047 per share. The Warrant has an exercise period of six months and, if exercised, would take Reabold's shareholding in LNEnergy to approximately 30.6% of its enlarged share capital.

this warrant could be a very good deal if CS has been granted permits & Gunvor has provided funding

Interims - 'In August 2024, agreed to further increase interest in LNEnergy Limited ("LNEnergy") taking Reabold's total shareholding to approximately 27.1% of LNEnergy's enlarged share capital. LNEnergy is the manager of LNEnergy S.R.L., the Italian company which has applied for the Colle Santo gas field concession'

after today's RNS, Reabold has spent £2.5m cash and over 1 bn shares on just 29.2% of LNenergy Ltd shares. The latest purchase values LNe Ltd at over £24m and our 29% at £7m.

Frascogna is the common denominator between LNe Ltd and LNe SRL, LNe SRL is the company applying for the CS permits.

Interims - The prepayment is conditional on agreeing definitive transaction documentation and LNEnergy obtaining the required permits to construct and operate the LNG production facility and will help fund the development.
note - end of year deadline

If LNe Ltd cannot raise $11m by 01.02.25 to exercise the option to buy the 80% of LNe SRL that it does not own, LNe SRL may receive CS permits with no obligation to LNe Ltd.
(although it's LNe Ltd that is negotiating with Gunvor for a pre-payment, if SRL obtained permits after the option expires I guess SRL could sell itself to a major ie Gunvor bypassing Ltd & RBD)

imo this whole deal unravels for RBD & LNe Ltd if CS permission is not received by year-end. Of course LNe Ltd could agree a new option with LNe SRL and continue negotiating with Gunvor, but a new option could cost a lot more than $11m.

Frascogna is a genius who has outplayed Rbd at every turn!

Reabold Resources plc, the investing company focussed on developing strategic gas projects for European energy security, is pleased to announce that, pursuant to a loan note instrument dated 26 March 2024, and as disclosed in Note 27 of the Company's 2023 Annual Report and Accounts, it has converted £510,236.28 of the convertible loan notes, including accrued interest, into 36 ordinary shares of LNEnergy Limited ("LNEnergy") at a conversion price of £14,173.23 per share. Following this conversion, Reabold will hold approximately 29.2% of LNEnergy's enlarged share capital.

LNEnergy is the manager and owner of a 20% interest in LNEnergy S.R.L. ("LNEnergy SRL"), the Italian company which has applied for the Colle Santo gas field concession (with a 90% interest), and has an option to acquire the remaining 80% interest in LNEnergy SRL on or before 1 February 2025 (the "Option"), with an exercise price of US$11 million.

Says one who had been 'topping up' at every opportunity two years ago, and maybe even recently. Anyone with sense wouldn't invest any more money in these so long as the two boy wonders are at the helm.

here's a thought...if CS is denied permission and the WN re-completion is a failure, what's left for Reabold?

The JV partnership for PEDL 183 is expected to approve a forward plan, which will initially consist of the re-entry and recompletion of the West Newton A-2 well in order to establish sustained gas flow
