Anything less than 100p would be daylight robbery. What concerns me most is the continued use of the term 'control of the assets'. This indicates a deal rather than a takeover is in the offing. I don't want a fifty year royalty deal, I'll be dead long before then. My strong preference is for a clean break. Just make a decent offer and buy us out for goodness sake.

JSW, aiming to expand its resource base, would also like to conclude by the end of April with Prairie Mining regarding the basic terms of the transaction (the so-called term-sheet) concerning the potential takeover by JSW of control over the assets of this company: the Debiensko deposit and the Jan Karski deposit Lublin region.
The reasons for submitting a request for a break in the general meeting were not provided. The deliberations are to be resumed on Wednesday, April 3 at 11 at the company's headquarters in Jastrzebie-Zdrój.

On the agenda of the extraordinary general meeting, in addition to the decision on granting consent to take over the enterprise construction Szybów (PBSz), there is also a decision regarding shareholders' consent to establish property collateral, necessary to obtain by JSW a total of over PLN 1 billion in financing.

As announced last week by the president of Daniel Ozon, after positive decisions of the general meeting, the finalization of agreements related to obtaining financing would take place in April. Funding worth PLN 760 million is to be granted by a consortium of institutions: ARP, BGK, Pekao SA, PKO BP SA and ICBC (Europe) SA.

JSW increases its investments and assumes an increase in coal mining

The Group of Jastrzębska Spółka Węglowa, which in 2018 spent almost PLN 1.7 billion on investments and increased its coal output by 3.3 percent, this year assumes a several percent increase in production and higher capital expenditure - the company said. JSW is not planning a new share issue.


As the president of JSW Daniel Ozon said on Friday, the priority projects include completion of modernization of processing plants in the Budryk and Knurów-Szczygłowice mines, as well as continuation of works aimed at launching a new Bzie-Dębina mine, in January separated in the structure of JSW as a separate entity. This year, expenditures in this mine will reach PLN 140-150 million, and coal mining will begin there in 2022.

JSW, aiming to expand its resource base, would like to agree with Prairie Mining on basic terms of the transaction (term-sheet) regarding the possible takeover of control over JSW assets by JSW: the Dębieńsko deposit (JSW could in a short time during this time, approx. 0.5 million tons of coal from the Knurów-Szczygłowice mine site should be obtained from there, and 2.5 million tons eventually after the shaft was built) and Jan Karski in the Lublin region, where there is type 34 coking coal.

The chairman assured that the company's management board would inform shareholders (including the energy department) and the supervisory board on the progress of talks with Prairie Mining, but only after the term-sheet was negotiated, it would be possible to formally approve the company's bodies that must consent to the potential transaction.

This year - as JSW assumes - the number of mining walls in the company's mines will increase from 22 to 27, and the share of coking coal in total production is to increase above 70%. less than 69 percent. last year. Ultimately - according to JSW's strategy - it is to be over 85 percent. By the end of this year, the company intends to prepare an update of the strategy.

The company also wants to increase the number and speed of preparatory works, i.e. excavation of sidewalks in order to make new deposits available. In the previous year, more than 65 km were drilled (10% less than a year earlier), this year it will be over 70 km. Robots are expected to accelerate the application - in the second half of the year - an innovative anchoring housing at the Budryk mine, creating their own forefront brigades (in total there will be 50) and finalizing the takeover of Przedsiębiorstwo Budowy Szybów (PBSz) for PLN 204 million. On March 21, the general meeting of JSW is to approve this transaction. The company also wants to focus on the gradual automation of longwall systems.

In April - as President of Ozon announced - JSW will sign loan agreements for long-term financing with a banking syndicate, as well as with the European Investment Bank, which will finance pro-ecological investments. The president informed that JSW is not planning a new share issue. It was assessed that at current exchange levels it would be unprofitable.

"We managed to obtain debt financing. At the end of the year, we repaid our entire credit exposure - we are currently a debt-free company. The new financing, which will be signed in April, provides for several tranches - turnover, investment and one 100 millionth tranche for the purchase of PBSz. With this funding guaranteed, financing from the EIB and loans from environmental protection funds (...), currently our financial needs are secured "- explained Ozon.

As previously reported, the consortium of banks is to provide JSW with approximately PLN 750 million within seven years. In addition, JSW acquires approx. PLN 250 million (for eight years) from the European Investment Bank for pro-ecological investments and research. The company also received a PLN 200 million preferential loan from the National Fund for Environmental Protection and Water Management for the modernization of the battery in Przyjaźń coking plant and PLN 130 million for the investment in the Radlin heat and power plant. In May, tenders for the implementation of these projects will be resolved; Two bidders apply for a contract in Radlin, and four in Przyjaźń.

President Ozon reminded that within the next 3-4 years, JSW wants to achieve energy self-sufficiency, including by launching - next to the new cogeneration plant in Radlin with the capacity of 30 megawatts electric and 37 megawatts - new engines powered by methane - they will be created this year and subsequent years, among others in the Budryk and Knurów-Szczygłowice mines. Energy investments are expected to bring significant savings - last year the company spent about PLN 300 million on the purchase of energy from external suppliers, this year assumes an increase of about PLN 100 million.

Last year, the JSW group generated 1.76 billion PLN of consolidated net profit, recording 10.5%. increase in sales revenues, which amounted to PLN 9.8 billion. EBITDA of the capital group amounted to PLN 3.1 billion. "It was a good year for JSW and we predict it will be similar this year. Of course, we are preparing for a possible slowdown in the global economy and a drop in raw material prices, but all costs are under control "- commented the president.

In 2018, the JSW Group plants produced 15 million tons of coal and 3.6 million tons of coke - in both cases this means an increase of over 3%. towards the previous year. The average coke price increased by 17%, and the average price of coal remained at a similar level as in 2017 and amounted to PLN 658 per ton.

The JSW Group employs less than 28.3 thousand. people, including 21.7 thousand employees in JSW itself.
