After that time, I would then have to submit another objection along with evidence that there is some progressing in resolving the matter. I think we should form a Shareholders action group to share information and co-ordinate. We dont need to spend money on legal action we just need to force the directors to share information, |
Posted at 27/10/2024 10:04 by mudbath I contacted Sven Klass some two months ago to enquire how he intended to safeguard the value of his investment in Pelatro (over £30k). It is therefore somewhat disheartening to learn (thank you timbo003) that his letter of claim has been deemed unacceptable by the legal counsel of Pelatro; they being fairly secure in the knowledge that the costs of our obtaining a differing (and probably a more accurate interpretation) would prove disproportionately costly.Nevertheless, I would be prepared to pay towards financing some further resistance to what seems to me to be a flagrant theft of Pelatro Ltd UK shareholder funds. The first step, for me, should involve a requirement of the provision by Pelatro of audited figures for the period , thus allowing for an identification of what happened to the moneys which I estimate to be circa £2.7 million; being a total of the injection of £1million by the HNW individuals as documented in the RNS and the proceeds of the subsequent sale of Pelatro Ltd UK for the equivalent of 1.9p per share, or £1.9 million. . |
Posted at 23/10/2024 21:23 by mudbath Thanks for your research timbo003.It appears that Pelatro (Pivate) acquired Pelatro UK Ltd and subsequently executed a very successful IPO at the sterling equivalent of circa £2 which was many times oversubscribed. I have today been in touch with the Pelatro UK Ltd registrars-Equiniti- who confirm that Pelatro Ltd still retains its UK registration (not having been liquidated) enabling them to issue a share certificate to replace my existing nominee holding. Your posting details a payment of R210 per equity share payable, as consideration for the transfer, by the "promoter" to Pelatro Ltd (UK) and Anuradha. This figure converts to 1.93p, being very close to the 2.5p per share paid by the named HNW individuals shortly before the delisting. Once in possession of a share certificate I will further persue the paper trail relating to the whereabouts of those transfer proceeds. I would of course welcome news of any developments from your side. mudbath |

Posted at 03/6/2023 13:33 by gleach23 In searching for this year's AGM date (as in the past there has been a trading update on the day) I came across the 'Notice of AGM' RNS from Thursday just gone, questionably timed @ 17.26.The RNS advises the AGM will be 23 Jun and includes the following (it'll be interesting to see what price any new shares will be issued at)- "Share authority, funding and potential acquisitions The AGM notice contains both ordinary and special resolutions to enable the Company to issue a significant number of shares on a non-pre-emptive basis, up to an aggregate nominal amount of GBP1,875,000.00, . Such issue is intended to finance potential acquisitions and any associated working capital required. The Company has received indicative non-binding commitments from a number of overseas family offices as well as from management of the Group to subscribe for any shares to be issued that will fund the entire consideration for any potential acquisitions that are completed thereby underwriting the entire issue without the need to raise any funding from the UK market. The number of new shares issued might be considerably less than the amount allowed for in the special resolution depending on the price at which the shares will be issued. Seeking the above mentioned authority the Directors believe will ensure speed and certainty of funding. Broadly the Company is seeking to make acquisitions that will add quality recurring revenue and will diversify the Company away from both emerging markets and the telco sector and add new verticals and a broader geographic presence. Having discussed this issue with the Company's major shareholders, the Board considers this proposal to be in the best interests of shareholders and encourage them to vote in favour of the relevant resolutions at the forthcoming AGM. There can be no certainty that any acquisitions will complete or the terms of any such acquisitions. Shareholders will be updated as soon as possible on progress and the Board commits to only use the substantial share authority sought to help fund strategic acquisitions. Surely not a move to low 40s after the recent news updates?I have an investment holding here but trade it with spread bets. My repeated experience is to take out a SB too early mid-drop which has meant holding on to SB losses (sometimes for months) before eventually exiting at a profit as happened last month. Am looking for another entry point now but trying to time it better this time. |
