The offer changed to 57.5p - I haven't been following for a while so don't know the details /dates etc

Doesn't matter if they manage to get a dividend or some sort of return to shareholders, the Medco offer is likely to reduce by the equivalent amount:

If any dividend, distribution or other return of value in respect of the Ophir Shares is declared, paid or made on or after the date of this Announcement, Medco Global reserves the right to reduce the consideration payable for each Ophir Share under the terms of the Acquisition by the amount per Ophir Share of such dividend, distribution or other return of value. In such circumstances, Ophir Shareholders would be entitled to retain any such dividend, distribution or other return of value which has been declared, made or paid.


Unless of course Medco opt to let it stand as a sweetner to getting 75%. But we're very probably out of time for anything being returned off the back of Mexico are we not??

If they ate giving a cash dividend to share holders they need to announce before the end date for vote otherwise how will people know which way to vote

To me, it would be absolutely crazy if the major shareholders vote this through now. Look at the free cash flow, production, find in Mexico 'in line with our expectations'. Unless they are going to give a special dividend in addition to 55p share offer, not a hope in hell of this getting voted through after that announcement!!

my guess is that has to be some kind of special dividend in addition to the recommended offer. surely the offer wont get voted through otherwise.

“The offer is unanimously supported by the Ophir board.” Unfortunately for them, shareholders decide the future of OPHR.

Interesting to note that SOCO made an approach in January, although that appears to have been an all share offer.

Ed, I switched some of my PMO into here exactly (to the day) a year ago: PMO@85, OPHR@52.5. I was kicking myself for most of the year thereafter, but if I now switch back at today's prices it gives me around 15% more PMO than I'd sold....edit.. @55 it'll give me 27% extra PMO.

...or maybe add to my already overweight HUR holding?

or perhaps even add to RKH as SeaLion approval nears. (I opened my position here at the same time as buying into OPHR, and this is now 40% underwater).

Or maybe just hold out for a revised offer of 80p here... ;-))

Ed, I accept with your more careful phrasing of the RNSs (Medco's and OPHR's). It looks hostile to me though.

60p would not be a knockout bid if the Tanz licence has value to Shell, who were sucked into an auction over Cove years ago and wisely backed out when the price ran away. They could get Ophir's 20% much more cheaply now. If they want the licence they could either come in as a white knight for OPHR, or offer to buy the Tanz assets alone, before control changes.

That 1.6m UT @ 45p last night suggests someone thinks there's more to this. DNO/FPM comparisons are pretty pointless, FPM was a slow moving coup put in place over a year ago and DNO already held a little short of 30% of FPM before making their offer. Will be interesting to see how this plays out considering the BOD obviously thought very little of an offer @ 58.5p in October. Taking into account Medco hold nil OPHR stock I'm struggling to see how they can go hostile and expect to get OPHR @ 48.5p, they could of course just walk away but they seem to have spent considerable time and money doing their due diligence. Their mooted 'maybe' offer of 48.5p yesterday has the distinct whiff of opportunism and testing the water with IIs to see who bites. All IMHO dyor etc.

Its all finger in the wind atm,Ophr must have been one of the most difficult companys to invest in, I remember when they took over Smdr, ophr shares where £4, never did Salamander investors any favours, I for one won't be sad to see it get bought out,and yes of course lth investors will be shafted, I just hope its quick.
