Ocado Group PLC said Thursday that an independent senior director and nonexecutive director received low votes of approval for their re-election at the company's annual general meeting.
The U.K. grocer said nonexecutive director Jorn Rausing and senior independent director Andrew Harrison received 87.74% and 76.97% of the votes in favor, respectively.
The company said that it understands the primary reason for opposition to Mr. Harrison's re-election related to the level of gender diversity on the company board, for which Mr. Harrison as the senior independent director was held culpable given that the chairman wasn't standing for re-election.
"The board recognizes the importance of diversity and inclusion in the boardroom and throughout the organization, and understands that a diverse board will offer wider perspectives that ultimately improve decision-making," it said.
