The AGM is in/near London this year. Here is a possible question for anyone attending, if they should feel so inclined.

TAM appears to be the Group's only 'associate' company.

The P&L account shows £114k loss against "Share of post-tax (loss)/profit for associates" for 2011. Could the Directors clarify when TAM started to make a profit and give some indication of its margin to date in 2012?

Note 13 suggests that in 2011 TAM produced a loss before tax of £0.070m on revenues of £17,579. Could the directors confirm that this is a correct interpretation of Note 13?

I would not rule out the possibility of making the AGM myself but would need to convince myself that it is worth the expense while owning only 2313 shares.

This one does seem to be in the right sectors.

Excellent results in all respects, as far as I can see. £2.55m net cash at 31/12/12. On an illustrative share price of 65p, p/e for 2011 would be 5.6x and dividend yield 8.2%.

I have the agm listed for 28th June so the results have to be out very soon indeed if giving statutory 21 days notice with accounts

Yes I'm holding these still.

Last year's agm was 5 July. I missed that but I went to the earlier delisting meeting. They let me ask questions, and Peter Hay answered them. I voted for the delisting - but there was an overwhelming majority 'for', in any case.

An update would be useful. I think they'll be doing well. Wonder where things are with the Tam International option?

I got my unaudited preliminary results this morning.

For those who haven't yet got them, these are the highlights.

=====================================

Pre-tax profit 2.7m (0.9m).

Revenue (excluding TAM) £25.0m (£18.1m).

Cash in hand £1.7m (1.0m).

Dividend for the year 4.8p (4.3p).

=====================================

I wish all my investments were making such progress.

I make the earnings per share around 12p. At the delisting price of 63p, that would put the shares on a p/e ratio of about 5. Dividend yield would be around 7.5%.

Very pleased I held onto mine.

I'm sorry, but it isn't clear to me what questions you're trying to ask. I think the best thing I can do is point you at the two guides to AIM tax benefits linked to from . They're quite good, though slightly out-of-date: anywhere they talk about a time limit of 5 years and 10 months after the end of the tax year, it's now probably 4 years after the end of the tax year as a result of some general deadline changes that happened in April this year.

Also, they're not as clear as they could be about the fact that CGT gift relief and Inheritance Tax business property relief both require the shares to count as "unlisted" as well as being trading companies (the taxman does not want people to be able to get the reliefs on any old investments by holding them inside an unlisted investment company!). As I said in my last post, AIM shares will generally count as "unlisted" provided they're not also officially listed on some other recognised stock exchange.

Gengulphus.........Thanks for the pointers.I never knew about the unlisted AIM ruling for death duty tax purposes.I knew one could 're-invest' a capital gain from somewhere else and avoid the CGT being paid, as long as the bought into unlisted investment share block was held for a certain minumin of time(Is this still the case on the mainland UK..?)
I take it that 'unlisted AIM' still go forward for the end of year Capital Gains Tax in the case of a profit on the share sell of that unlisted AIM stock, and the divi is taxable....?

One good thing........Shares held in an unlisted company do not go towards your death duties if you get run over by a bus.

Provided it counts as a "trading company or the holding company of a trading group" (no problem for HNN as far as I am aware) and you've held them for two years (which could be two years out of the last five under some 'replacement' rules that I've never managed to understand thoroughly - it's more straightforward all around if you can arrange for it to be the last two years before death!).

Note though that shares traded on AIM count as "unlisted" for tax purposes unless they are officially listed on some other recognised stock exchange. So I don't think the delisting makes any difference to whether HNN counts as "unlisted" - it did before and it still will afterwards.
