The dividend, as announced by Niger Uranium, was from the disposal of 14 million shares in Kalahari Minerals PLC. NWT received 1,285,686 British pounds based on its direct interest in Niger Uranium. In addition, NWT's wholly owned subsidiary, Niketo Co. Ltd., also received 6,828,700 British pounds based on its interest in Niger Uranium. Either way, both URU and NWT need cash. NWT will get more soon from the other half of KAH. They will need it for Vietnam. Does anyone have a feel for what NWT is looking for in Vietnam? 16/2/2010 20:28 | And the next exciting update on NWT/URU saga is: The Board of the Company announces that it has today sold on an arms-length basis through the market, 14,000,000 shares in Kalahari at a price of 165p (the "Disposal"). The total consideration before costs amounts to £23,100,000 in cash (the "Cash Proceeds"). The Cash Proceeds, without any deduction of costs, are to be returned to shareholders as soon as possible by way of an interim dividend to be paid to shareholders. Based on an issued share capital of 113,210,056 Niger Ordinary Shares of nominal value of US $0.01 each (the "Ordinary Shares"), the interim dividend amounts to 20.4p in cash per Ordinary Share (the "Dividend"). In accordance with the Stock Exchange dividend procedure timetable, the record date is Friday 26 February 2010 (the "Record Date") and the ex-dividend date is Wednesday 24 February 2010. Payment will be made to shareholders within 10 business days of the Record Date.. Following the Disposal, the Company will continue to hold 13,680,000 Kalahari shares. The Board intends to propose that up to a further 12,296,000 Kalahari shares will be distributed to shareholders in specie by way of a second interim dividend (the "Further Disposal"). The Further Disposal can only be made with shareholder approval and will therefore be put to shareholders for their approval at the forthcoming Annual General Meeting (the "AGM"), notice of which will despatched in due course. The property is located along the historically proven Sepon structure, which extends from central Vietnam into Cambodia and Laos. With the gold and copper Laos Sepon nine only 60 kilometres away, the property is expected to have a large geochemical footprint. The Sepon mine was recently sold by Oz Minerals (formerly Oxiana Ltd.) to China Minmetals. After conducting due diligence in Vietnam, NWT management feels that exploration work is warranted. The Quang Tri copper project in Quang Tri province is underlain by Devonian- to Carboniferous-aged sediments intruded by porphyry and other granitoids. Several extensive gold and gold-copper occurrences associated with the granitoid intrusives are known on the property, making this a prime target for Sepon-like gold-copper deposits. Earlier today, the appointments as directors of the Company of John Lynch and Raphael Danon, were terminated by a duly convened meeting of the Board with immediate effect...." I guess that could be expected given the fact that Dattels associates had the majority on URUs board.I expect NWT to change their proposal and add Lynchs and Danons reinstatement to the requisition. What i dont like is the fact that right now Dattels is effectively controlling URUs board without having any shares at all of URU. 24/1/2010 07:21 | It may be stretching the definition of principle, but some shareholders may be inclined to vote against a motion whose proposer has shown indecision verging on incompetence in the recent past. As Robson says, the economic benefit of NWT's proposals is uncertain. Why not go a step further and ask EXT to distribute shares of direct ownership of Rossing South? Perhaps that will occur to NWT after their URU EGM has been arranged, and they'll vote against again and make another new proposal. | zangdook | |

23/1/2010 04:44 | The original distribution scheme was workable. The NWT idea IMHO is very unlikely to pass at KAH. NWT wasted a lot of time agreeing to the first distribution at URU board level and then blocking it at the meeting, and now as far as I can tell they're wasting more time. What will they do if they get their motions passed at URU but not at KAH? Go back to the original plan to distribute KAH shares? If this plan is so much better, why didn't they suggest it at the original URU board meeting when they voted unanimously to propose the special dividend of KAH shares? | zangdook | |
