Delist meeting on Monday where 75% is needed by Woody to take the company private but someone brought 29.9% last week on the open market that puts pay to it lol

8p bid. M.A. Lawson obviously knew full well what he was doing; far more so than Hambro Capital Management who bizarrely accepted 1p for their holding!

took some... currently spiked but most buyers are with that spread! Risky gamble on takeover or block of delisting.

Possibly Melvin Lawson of CMG and Telecom Plus.
A guess.

Interesting. MA Lawson (Who he?) buys another 20% to take him to just shy of the 30% level where he would have to make a takeover bid.

Seems as though Hambro Capital Management sold out their stake at 1p; but interesting that they found a buyer.

I've added today...

So the company benefits from the £3m and the shareholders get zilch. Seems fair to me.

Tilton,

I think one cannot apply general principles to this - you see, I am of the view that this Co. and others in which Woodford has a significant stake in the tech/biotech/med space, almost invariably from what I have seen lose some 90% plus and then there is the intention to delist. If one looks back at the RNS announcements the past few months, it is perplexing as to why they would have so orchestrated affairs. You see, if they truly felt it was undervalued, but that commercialisation would later this year have generated revenues, they would at 30p have done a placing at say a 50% discount. But, they put out an announcement saying they were seeking bidders but almost shortly thereafter indicated no offers and a delisting was on the radar amongst other options. Then, they receive 3 mln and almost immediately they punctuate that announcement with the notice to delist.

It appears to me that the intention to delist was made some time ago and the rest is just smoke and mirrors. I rather doubt the majority holders have the interests of the minority holders at heart when they contemplated the same.

Well, well, well.....there speaks a very knowledgeable poster.

Having dropped 3% of my SIPP in this I might as well risk another 0.3%!

Nothing wrong with holding delisted stock as long as you don't need liquidity.

I held Synarbor. Tried to pick up all available stock at around 3-5p. Get a message on the first day of my hols, informing me of a 32p cash bid.

I hold and have just added to Eurovestech on Asset Match.

Don't fear delisting and illiquidity unless you may need the cash.

To provide some balance on delisted companies, I held Security Research Group, bought at 50p as an oversold play just before delisting in Jan'15. Trades were then possible through Asset Match (I think that was their name), before 2 yrs later the two subs were sold and shareholders paid out @ c67p.

So, with matched bargain dealings promised, at this level clearly not much point in selling. May well buy a few more.

Timbo,

But, as you know, the terms are so constructed that it is perfectly forseeable that few if any of the minority holders would take them up - thus, they just get diluted.

I am not in Sphere so have not monitored it that intimately, but, the bottom line is that those who were buying in the days leading up to the delisting will not have been able to cash out at all a year or more later, less still being able to cash out at a profit. That tells you all you need to know.

Timbo -

As a sidestep I did hold a stock that has a so called NAV around 18x delisting price -

What happened is that it refused to put out its FY results and with careful broker care it delisted silently -

Even with that sort of NAV absolutely nothing back -

So really with a delisting (unless the directors are completely honest) chances of getting anything back are pretty slim -

Yes, I know about Sphere (I am a shareholder), with NSCI there is certainly a risk of further dilution, but so far with Sphere, Woodford has been well behaved towards other shareholders and they have been offered the same terms for follow on investment in Sphere as the Woodford funds.

Timbo

The problem with any Co. linked to Woodford and Co is that delisting means you inevitably get wiped out by carefully engineered dilution - see Sphere

The fact that this rose yesterday and they immediately went onto announce delisting suggests to me the plan is in place and likely has been for a while.

Good luck timbo -

There is value here at these levels -

I have had companies delisted on me where the fundamentals were significantly higher than the prevailing share price at delisting -

Never got anything back -

But good luck with it -
