Please note that Fiserv Inc has received irrevocable undertakings to vote in favour of the Scheme in respect of approximately 0.15% of the issued Share capital of Monitise plc.
- doesn't sound a large proportion to me ! - just the Directors

Bear in mind this is a stich-up engineered by them - vote against

A Scheme of Arrangement is a Court approved agreement between a Company and its Shareholders. It can be used to implement a variety of corporate events. In this case the Scheme of Arrangement is being used by the Company to allow Fiserv Inc to acquire Monitise plc. Typically the proposals require approval at a Shareholder Meeting and a Court Meeting. The Scheme will be approved if Shareholders who represent a majority in number and hold at least 75% in value of the Shares held by those Shareholders who vote, vote for the Scheme. A Scheme also requires the sanction of the High Court at a Court Hearing. If the Scheme becomes effective and all resolutions are passed then the buying Company will obtain 100% of the Shares in issue regardless of whether an individual Shareholder voted in favour, against or not at all.

So have I and the Mrs. - nothing to loose and everything to gain - they need 75% to get the resolution through

Looks like it's settling on 2.83
One consolation in all this is although some PIs have lost money, including myself, most institutions must have lost vast amounts which is pretty poor considering they were or should have been in a postion to know what was going on

Cheers mate i have had bad years as well but literally raking it in this year. Sirius minerals was a big 6 figure one to help though and it's the first 6 figure short profit I ever made from 48p. Sound short at 90p as well go back and check the thread. Either way I could quite easily have a bad 6 months to December 17
