it's good news (do i dare want to ssy such a thing given the armageddon happening in the markets....) - uncertainty about ownership gone..as funding for parent who still own the aame number of metrodome shares with no dilution for metrodome - loonland (..certain irony in that name) may have dilution of their OWN shares but this is IN LOONLAND NOT METRODOME.....

Which, as I read it, means MRMs parent company is now financially secure, so doesn't have to 'give away' it's share of MRM at a knock down price......

TV-Loonland Reaches Agreement in Restructuring Talks


Metrodome announces that its majority shareholder, TV-Loonland AG ('TVL'), has now reached and signed an agreement with its bankers in respect of the restructuring of TVL's debt.

The main elements of that package are that the Euro20 million debt due to the banks will be reduced to Euro6million, with Euro14 million being converted into a maximum of a 10% shareholding in the company following a minimum capital increase of Euro2 million.

The full details of the restructuring package will be presented to TVL's shareholders for their approval at its forthcoming AGM, the date of which will be announced shortly.

Once the restructuring package has been approved by the shareholders, TVL looks forward to fully executing its business plan for the coming years with all of its new titles .

MBO all depends on how rich the Management team are. That could screw things a bit.

If Loonland did find a seller then how much they are willing to pay will indeed greatly depend on the results.

I don't know. A lot depends on the results.

MRM are likely to go back into profit in September which should make them an appealing buy.Loonland own 61% of their shares so anybody buying 61% is going to want to takeover MRM and are likely to want another 30%.This could raise the share price significantly if the shares are bought in the open market.A more likely scenario is a takeover bid for the whole of MRM not just a purchase of 61%.Is an MBO a possibility? I dont know,any thoughts on that?

Puffet,if they dont receive an offer for their shares in mrm then nothing happens.Their reasons for wanting to sell (and selling 11% already) merely explains why the share price is so low so near MRM going back into profit.40% of MRM arent owned by loonland so maybe any buyer of loonlands 60% will have to buy another 30% in the open market or make us a very good offer for the shares.(This could be very good news)

Maybe Loonland selling up its holding en masse will help the share price as its selling of 11% over the last year has depressed the share price down to this low level.Metrodome should be ebitda positive in the September results so interest should bolster the share price (if loonland are out of the way)."Potential offer" could this mean we get an offer for our shares at a premium?

yeeks - just seen the latest RNS posting - puts a cloud over MRM until this is resolved one way or another


LONDON (Thomson Financial) - Metrodome Group, a film distribution company,
said a stake sale by its major shareholder TV-Loonland AG is "no certainty",
even though the sale could be on the cards as Loonland is "urgently" pursuing
restructuring options following banking problems.
Metrodome said in a statement that, as talks have not taken place, there was
therefore "no certainty that any offer will ultimately be made for the company".
Loonland said it was urgently pursuing various restructuring options, as a
result of ongoing discussions with bankers and auditors "in respect of certain
breaches of covenant in its banking arrangements", according to Metrodome.

I suggest you buy before the results in September as MRM has a habit of rising on a pre-results rally.Once MRM starts moving it can move massive % fast.

Personally I am still waiting before buying - I would rather wait for guidance from the results than speculate - granted I may miss an opportunity for a quick profit but upside (as downside) for MRM is enormous

evening moreforus.I was expecting a rally just before/and after the results in September as MRM are supposed to return to profitability this year.The buying started earlier than I expected so I didnt dare wait.I hope we get a good rally then but a slow steady climb would be ok aswell.gb.

another 100k plus bought - if it contiunes tomorrow then should see a smidge if blue... i'd rather see a stready sustained recovery than a short term surge which will encourage sellers and not buyers...
