Mercury Group says reached settlement deal with Smith Melzack vendors LONDON (Thomson Financial) - Mercury Group PLC said it has entered into a settlement agreement with the vendors of commercial property consultancy and estate agency Smith Melzack Pepper Angliss Ltd, which was acquired by the company on Feb 28 2005. The company will pay a deferred amount of 182,000 stg to the vendors via shares and convertible unsecured loan stock. Under the terms of the original sale and purchase agreement, the vendors were entitled to receive deferred payment from the company. But, in Nov 2006, the company notified the vendors of certain claims for breach of warranty relating to PAYE claims. Now the company and the vendors have agreed that in settlement of the PAYE claim and any other warranty claims, whether now or in the future, certain entitlement of the vendors shall be set off against the PAYE claim.
