One reason why they may not want to do a placing is because the new shares would have to be offered to current shareholders. it's in an effort to prevent continuous dilution. They raised their $5m through an issuance of shares prior to listing.

When a company is contemplating a takeover they usually pay a premium to the current share price to make sure the takeover goes through. That's why the share price usually rises when a takeover is announced.

It could be that only Barskiy will sell out and a strategic investor will buy his 27.5% and we will carry on as of now.

There has to be a percentage of minority shareholders approving the takeover, same as the U.K. so Rovelo can't sell at a silly price. The important thing is if there is an EGM the U.K. shareholders must exercise their postal vote.

There were a number of points that have come through from research so far, firstly foreign companies listed in Sweden have to observe the same rules that Swedish companies are obliged to and all shareholders have to be treated the equally. So if an offer was made of 5sek per share for the whole business that would apply to all shareholders including Barskiy, would such an offer be accepted?

They do have financial issues at the moment and I can't see them raising more debt as their market cap is around $30m and their debt is $45m, they could put Matra USA in Chapter 11 creditor protection or place shares to raise extra capital. The only reason to bring in a strategic investor would be if they were prepared to inject fresh capital into the company, like a $50m interest free loan so that the development program could be speeded up. If shares were sold to a strategic investor at 6sek with a view to selling the whole company, then all shareholders would receive 6sek including the major shareholders.

Regarding bidding all I've found out so far is that if a bidder buys shares in a target company up to six months prior to a bid, they can't offer shareholders below their highest bid price in the offer document. This doesn't take into account bidders who do not purchase shares prior to a bid. I'll keep digging as EU directives are involved as well.
