10/4/2019 15:10 | No update RNS from MRS yet. My guess is the Nomad is now playing very tough with the Company. The General Meeting is next week on the 18th April. If the vendor of Alerion votes the new shares in favour of the special resolution then that is a very serious breach of AIM Rule 33 and I think the Nomad would be justified in resigning with immediate effect. My suspicion is the Nomad is putting pressure on the company to find a 'technical issue' with the acquisition of Alerion and the issue of shares to pay for it. Everybody would be happier apart from the Company and the vendor if the deal were to be cancelled. If MRS were unfortunate to lose its Nomad again there may not be anyone else willing to take it on. Just be careful, this is looking a very high-risk situation. Big rise in the share price if the deal is cancelled but also the risk of a suspension. Not for the faint-hearted. | danny baker | |

06/4/2019 14:45 | I'd agree there are good grounds for suspending the shares first thing on Monday morning on the basis that the Company is in breach of AIM rule 33. Rule 33 says that an AIM company must ensure that application is made to admit all securities within a class of AIM securities. This looks innocuous but it is one of the most important AIM rules. The Alerion acquisition is said to have completed last month with the issue of the new shares. However because the issue of shares was not conditional on admission to AIM it created non-AIM shares identical to those on AIM and breached AIM Rule 33. It could be that Arden have worked hard over the weekend and AIM will admit the new shares on Monday morning which would resolve the problem. AIM Regulation might issue a warning letter to the Company and the Nomad that they must abide by the AIM Rules in the future. If the new shares are admitted to AIM there also needs to be a total voting rights announcement confirming the number of shares in issue. Of course with the various allegations surrounding the Alerion acquisition we could see something totally different on Monday. The status of the new shares has to be resolved quickly as they have the potential to help pass the special resolution at the general meeting. Roll on Monday! | danny baker | |
