mngf - Well spotted. Just offloaded my holding here - somewhat reluctantly in fact, money needed elsewhere. But if those new targets are realised, and we're happy they've put to bed the problems of the last few years then I'd say these are a v good buy.

Peel Hunt spies margin story at M&C SaatchiPeel Hunt has upgraded M&C Saatchi (SAA) as it believes, despite the problems in advertising, there will be further margin improvement.Analyst Jessica Pok upgraded her recommendation from 'hold' to 'buy', but cut share price target from 247p to 200p as the agency added 1p to 168p.The group yesterday reported full-year revenues of £271m, marking 9% growth year-on-year, driven by growth in its specialist areas, with profit before tax expected to be in line with expectations set out in April last year.'2023 will be an uncertain year for advertising, but we expect the high-growth specialism segments to continue to grow resiliently,' said POk.'We anticipate further margin improvement, with the cost reduction programme to start reaping rewards.'

Agreed. Things going to plan, or better. The Director Deals were a thumbs up, and they're still looking cheap for what they are. Wouldn't be surprised if another bid comes along later this year..

I’ve just looked at the PLC website. For a one man business sitting in his garage it would be described as poor.

Just type. No calendar, no contact emails, nothing. You would not expect that they are a digital media company if you looked at it.

Absolutely horrific.

I'm guessing you aren't taking account of the £32m of put options settleable in cash. Adjust cash for that and the PE becomes 6.7. That would be cheap if it can be assumed that SAA is immune to the impact of a recession. I'm not sure that it can...

Definitely cheap. Ex-cash EV is about £120 million and forecasting £30 million pre-tax this year. Using 25% tax rate (going forward) means a forward PE of 5.5 ish.
Vin can't bid for a year now and would block any bid unless it was a total KO. With a recession forecast that seems unlikely.
One for the watchlist for sure.

“Lapse of the Next 15 Offer

As a result of votes cast at the Court Meeting, the M&C Saatchi Directors note that the Next 15 Offer has not satisfied the conditions as outlined in the Scheme Document and as such, the Next 15 Offer has now lapsed. As both the Next 15 Offer and ADV Offer have lapsed, M&C Saatchi is no longer in an offer period for the purposes of the Takeover Code.”

Misinformation. The offer from NFC hasn't been accepted by shareholders. There is a shareholders meeting, now convened on 31 October, to vote on the offer. According to NFC - The Scheme is currently not expected to be approved by M&C Saatchi Shareholders, given the previous statement made by ADV and Vin Murria -

Advt and Murria together hold 22.3%. The offer needs 75% to pass. It will be interesting to see what Advt/Murria do after this. I cannot see them being a passive shareholder group.

Have just received a letter from HSBC Invest Direct, re the Next Fifteen Communications Group offer, stating: "The Company is also proposing to cancel its admission to trading on the Alternative Investment Market (AIM) on 2 December 2022. Trading in shares of M&C Saatchi Plc will be SUSPENDED from 16:00 on 28 November 2022 to allow completion of this event." Have I missed something, or is this simply misinformation from the bank? Thanks for any comments.

Odd question - in July SAA shareholders were asked to choose an option in relation to the proposed acquisition by ADVT. We were told that once we made our choice the shares would be removed from our account and would not be available to sell (makes sense). However, now the offer has lapsed - but my shares haven't reappeared? Anyone else got this problem?

I initially traded this and sold on the spoke over 2.20, however my reentry, albeit a reduced position, was not so well time around 1.90. No doubt it can get back to those levels with or without a deal.

Bid now worth almost 210 p a share from next fifteen. Saa despite management having been tactically naive in this process are now a sitting duck. Very cheap and imo will trade much higher

The Next15 share price equates to 205p for Saatchi now. Saatchi far too low here.

The offers are still very much on the table however the company still rejects both. I had an email from Hargreaves Lansdown today laying out the options and timetable until the vote on August 19th.
