RE: Koovs for men

London, New Delhi: Koovs and designer Kunal Rawal have teamed up to launch an exclusive Kunal Rawal X Koovs menswear collection later this summer. The new collection will feature fun t-shirts, joggers and evening pieces that blend Rawal's love for fusion wear and grunge fashion that is much loved by top tier Bollywood style icons Shahid Kapoor, Akshay Kumar and Shahrukh Khan.

London College of Fashion trained Rawal, was the youngest ever designer to debut at India's premier Lakme Fashion Week aged 20 in 2006, was named in GQ India's 'Best Dressed' list four years running (2015-18) and is one of Grazia 2018's '100 Most influential in fashion'.

In India, the menswear market is equivalent in size to womenswear and recent Redseer research shows that Brand is the most significant factor in fashion criteria for men (54%) with 95% of young men's wardrobe being western-wear. Koovs has establish a reputation for fashion-forward, fun, quirky and aspirational menswear, through its own Private Label and highly sought-after collaborations such as those with superstar DJ Nikhil Chinapa, catwalk Parisian designer Manish Arora and cult Marvel and Star Wars collections.

Mary Turner, CEO of Koovs said: "The 35m social media reach and 1.6m engagement of our recent campaign with rising star Ahaan Panday, proves that exciting fashion and affordable style are as important to young men in India as women. Kunal Rawal is a transformational young designer and we are delighted to be bringing his trademark blend of casual and evening style for men exclusively to the Koovs private label."

WILL NOT ALL BE PLACED AT 10P.....the only batch at 10p is the first 4 million quids worth... THE REST WILL BE AT THE AVERAGE MARKET PRICE FOR THE PRIOR 3 MONTHS EACH TIME THEY BUY MORE

Two-year structure: The equity will be subscribed for in four equal tranches
over two years, with the price determined as the average traded price of Koovs'
shares over the prior three months. If the share price rises sustainably on the
back of the deal, then future tranches will be at a higher price.

Chairman Waheed Ali bought 10 million shares at 15p,

CEO Mary Turner took around 13.7 million shares at 17.7p instead of a salary,

CFO Robert Percel took around 4 million at 17.7p also,

Nina Amin took around 800 thousand at 15p also,

The placing at 15p was oversubscribed and only open to existing institutional investors and a few other people

Everyone here now has the chance to buy at the placing price but its the same old story, when the share price was 18p lots of people were saying "if it hits 15p im topping up" but when 15p comes the fear kicks in and they dont!! I planned on topping up another 20k today but only did 5 in the end but i will buy more next week

All the board members buying in have pedigree and are renowned for making company's become big and profitable and on top of that all the big players are fighting for a piece of india because they know the reality of what india has to offer in the coming years..

With the deal, both Future Lifestyle and Koovs look set to gain, said Jefferies analysts

significant factor in fashion criteria for men (54%) with 95% of young men's wardrobe being western-wear.

A crucial part of the path to profitability is continuing to raise the brand awareness.
Two years ago, it was 1%; now it is around 18%-21%. The objective is to get this to
around the 70% level enjoyed by the sector leader, Myntra. This deal should, in our
view, go a long way towards achieving that aim.

We believe that there is huge growth potential for ecommerce in India and significant opportunity for multiple players to succeed in India’s diverse, domestic market," the spokesperson was quoted as saying.

RE: A bit more history on the bod

A BIT ON MARY TURNERS CAREER

Probably the greatest value-growth she instigated was at Tiscali. The Sardinian ISP was created by Renato Soru in Cagliari in 1998. Turner had been running a weird and dysfunctional tripartite outfit called BT LineOne owned by the telecom giant, Rupert Murdoch's News International and UBM, then owners of The Daily Express. Tiscali bought LineOne and Turner was off on her next crusade. Turner was an early die-hard believer in broadband and put together a customer package far cheaper than was on offer. As she has said, 'CompuServe took us from paper to electronic, from 1D to 2D. But Tiscali made content rich by bringing in music, video, games and e-commerce to the internet. We brought in real 3D Technicolor.'

In 2001, Britain languished at seventh in the G7 for connectivity and only 9% of the population had access to broadband which was still relatively costly. In the next five years the UK got properly connected, Turner grew Tiscali UK from 4% of the group revenue across Europe to 67%.

You'd have thought, with more than 35 years in business under her belt, there would be a bit of worldly-wise, jaded scepticism. But no. She has an unfettered energy and enthusiasm that not only belies her years but also her long experience. Sure she has had her battles - just get her onto behemoth BT and how they defended their patch and stood in the way of her vision for Tiscali - 'I rang them up and threatened to strip naked and tie myself to the BT Tower if they didn't behave better.' Don't bet she wouldn't have carried out her threat.

'Do you know one year we were voted Number One e-brand at Tiscali? Amazon was number two and eBay number three. That made me proud.' When the time came to sell in 2009, it was Turner who acted as the go-between for the Italians and Charles Dunstone. The deal was done in the latter's kitchen, and Tiscali became TalkTalk when the 1.7 million customers were bought for £236m

ITS A STRONG TEAM

The management also includes some big- hitters from the UK fashion business. Robert Bready, Turner's chief creative officer, did the same job at ASOS and previously worked at Arcadia. (Two more different managers - Philip Green and Mary Turner - one couldn't possibly imagine.) It's unlikely he's doing it for the money as he made many millions at ASOS. Likewise Samantha Chilton was head of design at Primark before embarking on her regular trips to India.

A MASSIVE STATEMENT WHEN THE CEO IS TAKING SHARES AT 17.7P INSTEAD OF A SALARY.... SHE HAS BASICALLY PAID 2.25 MILLION FOR HER SHARES

Mary Turner must believe success is around the corner - she takes no salary, preferring share options and now owns about 5% of the company. Small, slight but packing a punch, Turner is a serious talent while remaining fun. She's gossipy, likes a post-work Margarita and is possessed by some real drive. The only question is why we haven't heard of her before.

I come to India for a proper dose of optimism,' he says. 'We are only after a tiny bit of real estate here. For me to succeed others don't have to fail. I knew Mary was the one to be CEO of Koovs and I waited for the right moment to ask her. She doesn't even take a salary.

RE: Share options...

These share options put the bods focus the same as share holders... Share price growth.... Especially Mary as she will only earn money if the share price is above 17.7p when the options become available to buy... Her options vest in 5 years.

What are Director Options?
When a company becomes listed through an Initial
Public Offering, shares are issued and distributed
to shareholders who are not the board of close
management. There is often a conflict when this
happens as the new shareholders wish to

maximise the returns on their investment, whilst
the directors may have other targets, such as to
complete acquisitions. The result is that a gap can
grow between the shareholders and the directors.

There are a number of methods available to
reduce this gap, and re-align the interests of both
the shareholders and the directors. One of these is
through the use of Share Options which are
commonly referred to as Director options. This
method has gained popularity over time due
to the flexibility of the method.

How do Director Options work?

An option related directly to a company's share
price. Options are often used as part of a directors
salary so that one percentage is in cash, and the
remaining percentage in options. This is a
favourable method for directors as they have a fall-
back clause in terms of the cash. However, if a
company is strapped for cash, this an alternative
that will not drain their cash balance.

Re falling in love
I think we all get wrapped in we must be right , how can we be wrong. ..if we have had other areas of our lives work, relationships, investment where we too have had success and failure. ....the problem with the aim market is that we have no control of the share price unless we can learn when to buy and sell. ..... infact the company can not control the aim market and share price. ....i.believe my posts have been reasonable but get shot down because I am not ramping and doing a load of research when the reality is price action and not falling in love
with the company is so important. ..even on my favourite stock if I think the share price will go down I will say so and I will never fall in love with any stock. .they usually alot of the time don't love you back. ...we all get carried away at times but I just say it how it is with known opinion.

Falling in love with Koovs .
Talk on falling in love with a share, I guess you have to have some kind of feeling for a share and people including myself fell for boo expecting big profits but regards koovs, I got involved after seeing a rapid rise about a month ago regards the media and I made a profit and jumped out. Bought back in again and the big news came out about funding and guess what, no rise and then doubled up on the Monday and since then the price just dropped day by day to a point that I jumped. I am not sure if we will see a jump like we did last month since the best news imo is out. I am hoping to get back in at a lower price
if the price drops more and like all stocks , you can't second guess what the share will do. But wishing everyone the best of luck
