The point is Yaki do you really think that this is some sort of fabulous turnaround opportunity? That with all your connections in the music industry that you are going to get someone to invest in this, sans the current BOD?

If someone could have easily monetised this they would have a long time ago, that’s why the BOD haven’t been able to thus far but have happily claimed remuneration through placing after placing after placing.

Surely you noticed?

You know it’s amateur hour when a gaggle of PI’s that have been stuck in a co for years think that they can do better than the current BOD, and even hatch an ingenious plot to boot, but then feel the need to drop hints and suggestions pertaining to it all over social media.

Whether you withdraw resolutions or publish the humiliating results the effect is the same.... LC NO LONGER HAS AUTHORITY TO ISSUE SHARES

The simple fact is the LC doesn't have enough support to carry a special resolution even if everyone voted. The risk of further dilution is now gone.

There is no technical difficulty but rather a fundamental problem with the Euroclear system. LC used this to advantage to prevent an EGM being convened. It has now come back to bite him and he has now lost control. Tick Tock!

you accept all votes that are duly registered with share registrar.

Obviously for that to happen the instructions need to get to the registrar.
To get there, my understanding is that beneficial owner needs to instruct the broker, the broker than passes it to a voting provider, voting provider passes it to Eurclear and Euroclear passes it to registrar.

As you can see quite a long chain.

I am not sure why last year's agm wasn't adjourned. As same issue existed then!

I am not sure it’s legal to accept some votes regardless of whether they are special or ordinary resolutions and cancel the rest. Either the votes cast are accepted or not. They can’t pick and choose. If there are technical issues which negate the validity of special resolutions surely by definition the ordinary resolutions are also null and void.

it is technical and admin nightmare with Euroclear but has been the case for last 2.5 years+, since Euroclear changes were implemented due to Brexit.

SO this is the SECOND year when agm resolutions are voted using that system! And for some reason, BoD just realised that it was a problem. Anyone has any idea why it took two years?
