Bah humbug. Nice to make a quick profit as a recent new holder, but couldn't agree more with everyone here that 350p gets K3C on the cheap.

We need a white knight to ride in - perhaps one of those other bidders who withdrew will be tempted back in.

Q. Why would the board agree such a derisory deal for existing shareholders at a time when there is such upside potential for the business ?A. Because the board are easily able to cash in the majority of their chips and strike a sweetheart deal with the PE firm so that they can grow the company in private ownership with the benefit of making money from a second public listing in 3-5 years time. It looks like the board have never really embraced the concept of public ownership and are only interested in enriching themselves.

Look at the market makers offering 3.25 a minimum of 7.6% margin for them with the kicker of more. They must be laughing. Nice work if you can get it!

£3.50 seems a ludicrously low offer to me. Their prospects over the next year or two would merit a much higher share price

Certainly no point selling as £3.50 seems nailed on and the apathetic NEDs might be forced to do their job properly by another interested party turning up.

I have no idea how they think they are serving shareholders by recommending £3.50.

Even if all the institutional holders feel that this is too cheap I don't think they nor we can do anything about it unless some market rule has been violated.

I can't believe that I only suggested a few hours ago that a US PE fund would be my best bet for any potential future acquirer. I think I might just go and buy a lottery ticket... I'm feeling lucky ! Find it hard to believe that a deal at 350p makes any sense though. Way too cheap.

Such a shame, I think they are selling out too cheap. Reading the RNS it sounds like the board support the takeover. Such a shame for what appears to be a quality company with a good future and management.

No intention to negotiate best deal for shareholders. Upside to be retained by Rigby and Ford who will be kept on by Sun and incentivised to rinse and repeat. All we can do is refuse to invest in any companies brought to market by these two in future.

No speculation that I can see anywhere...

They don't look particularly canny based on the contents of the RNS, particularly as they appear to have already accepted the offer;

"The Independent Directors, who have been so advised by Numis as to the financial terms of the Proposal, have confirmed to Sun Capital that they would be minded to recommend unanimously the Proposal should a firm intention to make an offer pursuant to Rule 2.7 of the Code be announced on such terms."

Oh and I've never seen a 6 month VWAP used;

"36.4% to the K3 6-month volume weighted average price to 7 December 2022."

Funny they don't mention that the offer is a meagre 6p premium to the 344p that shares closed at on 31st Dec 2021 and a 13% discount to the 2021 high...

It's pretty weird timing given discussions on here today + the fact the share price was about to break out to 320p... almost feels like their hand has been forced by share price action + the looming trading update. 10 points for anyone that can find the 'press speculation' they mention in the RNS.

Ps. Unbelievable that anyone would sell their shares based on that announcement, I can only assume that they don't know why the share price has risen - either that or they don't like money...

Edit. Just spotted the following in the RNS that I missed at first pass;

"The other parties who previously expressed an interest have confirmed that they are no longer considering a possible offer for the Company."

Baffling.

Am I a physic I put but a hour ago 7atom Im a long term holder had these for a while and looking forward to the next statement?. I see the naked trader mentions K3c might get snapped up at some point by another company . Which or who would be big enough to do this ? Thanks in advance if any one has any thoughts

This sets a floor price for the negotiations IMO. What happens next depends on the other interested parties and what they want to bid, given what was discussed earlier today on this thread there is clear value vs FRP Advisory up to a share price of £4.60, so I'd be very surprised if more offers weren't forthcoming?
