14/3/2017 15:35 | The big risk to "Us" as shareholders is a bid comes in from Greater Lancaster at say £1.50 as that is what they want but they chip in another 10p for "The Rest of the Assets" so the take out offer is £1.60. A better solution is often to take the £1.50 and then roll the remaining assets into a small new company which can then be floated at a later date. Does anyone remember Vodaphone some daft idea about everyone walking around with a phone in their pocket? Years ago, I worked for a company within a multitude of 'holdings' and other parent organisations. Various reasons; recharging management and consulting fees getting tax back through this structure whilst also protecting/shelterin It seems they are restructuring the asset-base, probably for corporate-activity reasons, likely a deal on both GLA and GWA. In the event of a license sale the Hurricane Energy legal entity continues trading rather than it disappearing as part of a disposal. 14/3/2017 14:29 | This new Company structure gives opportunities for "Dividending Out" some of the smaller assets which currently have low values. Will require going to the High Court if they go down that route. Also the structure should help Hurricane bring in multiple partners if they choose. Essentially then reducing the risk of a cheap takeover by a major by "Clouding the Group." | davidblack |
