The real value comes if HNT's 18-20% operating margins can be extracted from the enlarged business (merger savings apart) or on its earlier onward sale. In a service business of this sort in my experience a purchase price yardstick is usually a multiple of turnover as much as the p/e ratio, with t/o multiples of anything from 2 upwards for a sound and profitable business. | whealan | |

I am assuming that HNT comes out on top if the merger goes ahead, despite the fact that it is only about 1/8th the size in turnover terms.In which case it becomes a means of HNT making the quantum leap (ghastly expression)it has needed. I don't know enough about ITA to assess the fit,geographically and staff-wise for example,but Chadlington will have done his homework and is not about to sell the golden goose down the river, to mix my metaphors. ITA is valued at about 1/4 the multiple of turnover that HNT enjoys. Apply the HNT multiple to a combined group and you get a company worth about £600m (current mkt cap £200m) when in a few years time it is going like a Swiss watch, or earlier if it is sold. It certainly makes life a bit more hopeful.I await detailed developments with interest. | whealan | |

Shame really cos I think HNT is just getting its act together and is only on a PE of 13.5 whereas ITA is still sorting out some of its divisions (UK events etc.). Having said that, the combined company will certainly get on institution's radar screens and if ITA does take the opportunity to restructure its underperforming operations we could have a market leading company highly geared to the recovery in marketing spend which is currently happening. Also, this may flush out another bidder for HNT who wants to take advantage of its low valuation when all the restructuring hard work has been done. I'm holding to see what happens. | wjccghcc | |

03/2/2005 16:15 | !@#$%^ MM!!! I want to top up. Price is 22/23.5. I ask for 23.25, no. I have to buy at 23.35 and then they go and drop the bid to 23 immediately after the trade. Is this their idea of a good time?? Still, HNT finally seems to be firing on all cylinders. Judging by their update, I'd say EPS for the year just ended of 1.6-1.7p and an upgrade of next year's forecast to 1.9-2.0p. Puts them on a PE of 11-12 when the PR market is growing well and the balance sheet now looks a lot stronger. Plus, with Germany (finally) growing this year, the acquisition of trimedia looks like a good one. I'm gradually adding in my PEP/ISA (we even get a dividend now!!). | wjccghcc | |
