Dr Rosso, the II is merely there to make a quick profit for the operation of flipping the shares with no risk. Do you really think II's always know about news around the corner, or the share price rising in the short-term??!!!

The warrant exercise is so that the ii will sell into the market. Very likely that they'll have acquired around 33p and forward sold batches at around the 43p mark. More than likely it is Cornhill in on this act of flipping the shares. There will not be a TR1. Nice little earner. Pis picking them up at that higher price, on the other hand, are going to get impaled on this engineered spike. Would the insider really be offloading these batches if they thought a transformational drilling RNS was on the way, so pushing the share price up to 70p? Wise up, guys.

Cosmos, if they sold at 30p wouldn't HNR receive £3,000,000?35p £3,500,000 ?Or was it a fixed sum £2,500,000 for warrants and once converted the ii can sell as much as they want below 30p and above 30p they must sell minimum 15% of total volume over 30p each week the share price is above 30p.Also as the VWAP increases above 31p does it mean the ii pays more to Diversion?

mayroad, I agree with an earlier post of yours except I still read it that warrants have to be exercised above 30p. If the ii sold at 20p then how would HNR be able to receive £2.5m? Surely the idea is for the ii to benefit by flipping for a quick healthy premium in a way that doesn't decimate the share price, hence the price agreement?

Mayroad, I think your interpretation is probably correct but the sentence is actually ambiguous. I think for it to mean that they had to be sold above 30p would really need a comma after "...five trading days"

Not well proofread by the company.

You're misunderstanding - to aid transparency for the PI the ii has to sell a certain number of shares a week minimum - that is 15% of the TOTAL shares traded in HNR over 30p - for example if 10m shares were traded in a week above 30p the ii would have to sell at least 1.5m shares. They can sell loads more if they want but this clause has no relevance to what price they sell at

That's not how the RNS reads:

'the institutional investor exercises each week such number of Warrants equal to not less than 15 per cent. of the aggregate number of Highlands shares that trade during the previous five trading days at a price equal to or higher than 30 pence per Highlands Share'

Equal to or higher than 30p.

Coscos,I think you have misread.
The position was they must sell a minimum of 15% of traded volume when share price above 30p.
They could sell more, and certainly no restriction on selling if share price below 30p

Where does it say that ? Can be sold at any price but make a profit or loss depending where sold - sell enough at a profit it absorbs some sold at a loss - iya how flippers wirk

25-30m shares turned over above 30p since 30th Sept.
15% minimum sold = 4.1m shares
If 25% sold would equal = 6.8m shares.
Therefore going to need another 15- 20m shares to be turned over before warrants cleared unless more than 25% sold into market.
I would to expect the price to firm up gradually as warrants near sale completion.
