The acquisition is therefore on a PE of 7 - seems good value especially if the "merger" generates additional profits/savings in years ahead

"Why issue shares as part payment for the acquisition?"

I see the shares as an incentive as they are linked to performance. If they hit their forecasts then they get an investment in the larger group. Main question is how does £35m rate as an acquisition price? £7m pbt, what is that after tax? £5m? I'd welcome some views on this.

The earnings per share seem high for £ 4 million profits - must be based on the average share issue in the period as it's 2.7 billion now? £ 16 million profit based on 2.7 billion shares equals eps of circ 0.6p so PE of 11 - so probably some mileage left yet! Why issue shares as part payment for the acquisition? There's more than enough cash on the books - unless further acquisitions are planned? GLA

The new acquisition made profits of £7m added to a current profit of say £9m means that the current PE (not including the cash left after the deal ) is effectively in single figures. They still seem well undervalued, and are probably worth more like 10-12p !!

Very good news today Increased profitability a superb acquisition and we still have the Autofocus compensation to come. No doubt someone will do the figures on this but we have to be looking at projected profits on consolidation of circa £16 million which makes this a very cheap buy now.

Mind you I wasn't expecting much info from HHR in last February's results, and we got rather good news on the debt restructuring. So you never know.
No real clues in the share price yet though.

Helphire is not fond of communicating with its small shareholders, and this is unlikely to improve now it is on AIM. I will be impressed if there is any news on Autofocus or what it is doing with £60 mill. Clearly the institutions know, which is why they stumped up. It would be nice if they told us!
In the usual absence of any hard info, I too GUESS that results will be announced tomorrow Thursday. I hope that this time there is some news rather than the usual reiteration of old statements about potential progress.

Well by saying end of FEB it allows them a few days leeway for any news. Just in case anybody did not know

On 27 November 2013, Helphire indicated its intention to announce a second
interim dividend for the current year with the publication of its results for
the six months ending 31 December 2013 and that the Board expected the second
interim dividend to be 0.171 pence per ordinary share (approximately GBP2.7
million in aggregate).

The Board confirms that the second interim dividend will be 0.171 pence per
ordinary share and that it will now be brought forward so that it is paid on 10
January 2014 to those shareholders on the register at the close of business on
13 December 2013.

In addition, in the absence of unforeseen circumstances, the Board intends to
announce a third interim dividend for the current year in late February 2014
when releasing its results for the six months ending 31 December 2013. Any
third interim dividend will be payable in March 2014
