23/11/2009 18:22 | Alstom-Schneider Asked To Make Firm Bid For Areva T&D-Sources By Geraldine Amiel and Nathalie Boschat Of DOW JONES NEWSWIRES PARIS (Dow Jones) -- The French government and French state-controlled nuclear group Areva (CEI.FR) have asked the all-French consortium comprising engineering firm Alstom SA (ALO.FR) and electric equipment maker Schneider Electric SA (SU.FR) to submit a firm price for Areva's transmission and distribution unit, Areva T&D, sources familiar with the matter told Dow Jones Newswires Monday. The Alstom-Schneider consortium had previously offered around EUR4 billion for the Areva unit, but that included a variable component of EUR400 million to be paid only if Areva meets certain performance targets in the first half of next year, according to several people close to the talks. Under the rules of the bid, offers for Areva T&D were to be fixed, sources close to the process have told Dow Jones Newswires. According to two sources close to the situation, all three bidders were asked to submit a final and binding offer, not subject to any further modification, by 1700 GMT Monday, in order to take into account remarks made in the past few days by the French government agency in charge of managing the French government's stakes in companies. Bouygues' revenue for the third quarter fell to EUR8.38 billion from EUR8.74 billion a year earlier, falling short of an average EUR8.53 billion forecast of four analysts polled by Dow Jones Newswires. Revenue in its road-building division, Colas, fell 10% to EUR3.57 billion as the strong upturn in the third quarter from the government stimulus plan in France failed to materialize due to uncertainty over tax revenue of local authorities, the company said. Colas is also facing a sharp decline in public expenditure in Central Europe, and Bouygues noted that U.S. stimulus plans have been transferred in part to 2010. Bouygues kept its revenue guidance for 2009 of EUR31.5 billion, excluding the estimated EUR330 million contribution from its Finagestion unit, which is currently being sold. Since the start of the year, shares in Bouygues have gained around 19% on improving economic environment and higher activity prospects following the implementation of stimulus packages. ECP now owns 65% of Finagestion, which acts as a holding company for the group's water and power activities in Senegal and the Ivory Coast. Bouygues intends to sell a further 10-15% of its remaining holding to local investors later this month. The deal will effectively end Bouygues' exposure to the water sector, which began with the sale of Saur in 2005. The buyer, PAI Partners, refused to take on the group's activities in Italy and Africa, and Bouygues has been gradually divesting these, selling Sigesa to Acea in 2005, and Siza Water to Cascal in 2007. The penalties will be levied against the companies and others by the European Commission as soon as today, said the people, who can't be identified because the draft decision isn't public. Siemens AG, Europe's biggest engineering company, won't be fined after telling the commission, the EU's antitrust authority, about the cartel, the people said. The companies met once a year and agreed to stay out of each other's home markets, they said. Such accords violate EU competition rules. The Brussels-based commission in February 2007 raided ABB Ltd. offices and those of other transformer makers in Austria, France and Germany as part of the investigation. Under EU law, companies can be fined as much as 10 percent of annual sales for breaking antitrust rules. The largest cartel fine against an individual company was a 896 million-euro ($1.32 billion) levy against Cie. de Saint-Gobain SA in November 2008. Jonathan Todd, a commission spokesman, and Philippe Kasse, a spokesman for Alstom, had no comment. Siemens has been "cooperating fully with the European Commission and we've also launched our own investigation," said Alexander Becker, a company spokesman in Munich. "We can't comment further because the investigation is ongoing." Power Probe Julien Duperray, a spokesman for Paris-based Areva, declined to comment. Hiroko Mochida, a spokeswoman for Toshiba in Tokyo, and Daniela Karthaus, a spokeswoman for Hitachi Europe Ltd., weren't immediately available to comment. Transformers reduce or increase the voltage in an electrical circuit and are key components in electricity transmission. Siemens, Areva and eight competitors were fined in January 2007 by the EU for fixing prices of electricity transmission gear. Siemens received a 479.7 million-euro penalty, the second- highest fine after the levy against Saint-Gobain. The electrical-power transformer probe followed the investigation into price fixing of electricity-transmis Areva, which bought Alstom's transmission and distribution division in January 2004, was the first company to alert the commission about the transformer cartel, the people said. The company was granted conditional immunity from fines. The information Areva provided didn't reveal evidence about the agreement, the people said. The commission also got information about the cartel from Hitachi during the transmission-gear probe. The commission was later informed by Siemens about the international market-sharing accord, the people said. The EU regulator decided to pursue the international cartel investigation, rather than an inter-EU probe.
