Hi, my name is Dalesmann and I am putting in an astonishing effort for all investors sake. 813 times so far of ( I own loads, loads more than you ), it is undervalued ( but not by much ) - lots of things could go wrong, the ONLY way to value the company is (My WAY ) only on cash generation , no chance of a takeover or any other valuation criteria, and I'm a yankee doodle dandy but I wont admit it............ and I have huge daily need to educate you all. Just like my mate theoryman. We are just here ...constantly , to help fellow investors.

It would not be the company directly - it would be an agreement with an investment bank.
The non voting is another matter.
its interesting to me that about 58% is held in 10 blocks ( top ten) but 42% is held in a lot more chunks of maximum 2.5% probably far less.
If you believe the company is a hugely attractive asset for IOC it would also be mad to think any buyer would not have tried to build a stake ( perhaps using several small nominee holdings? ) or has used some of the top 10 private bank holders to assist.
The very odd Dutch preponderance in top 10, plus a Dutch Chairman with very large project experience with Shell and Gazprom is striking to me also.

I doubt the company would be buying its stock, and then publicly complain about that hidden stock not voting at the AGM... doesn't really make sense that bit

That may be the case.
Perhaps the company has had a third party buying stock for a long time.
That would have been best use of all the excess liquidity.
We should see an Ops and Corp update this week or next , and I doubt the board can avoid updating market on capital structure/capital allocation.
The imbalance is massive in equity/debt financing currently.

A buyer of the company needs 50% of the equity - in hand - or promised too them - for the sale to be clear cut.

The more stock they can buy below the necessary final offer / share , the cheaper the exercise.

No wonder - NOBODY - inside to the sale want this to ever breakout before sale.

What one would hope for given the extraordinary imbalance in the companies funding between debt and equity - is a new debt issue that is used to pay for an already completed third party buyback/a huge in mkt buyback /or a considerable special dividend, 200-300m dollars.
The former two much more desirable.

When the company sold cash and debt outstanding will be net off by buyers.

Dividends possible - but much less desirable, prior to a sale.

Glad that senior moment has passed P2! BTW well done on getting back to par. I will need that PT consensus of 297 plus a few years of mega divs to get there, if I'm spared. Has anyone ever suggested that we could get taken over at some future date? :0)
