Assuming everything runs to plan then the Scheme becomes effective and the listing is cancelled on 17th Jan and cheques are posted before 31 Jan.

Does this bid involve the Americans and their withholding tax?

No great surprise - clearly the buyers desparately want a piece of the unquoted action - after all, we all know that this is a cheap bid, and paying a premium to the bid price now will probably be irrelevant in the longer term in the context of the eventual rewards off market.

Grant of Options

GTL Resources PLC (AIM: GTL), the US based ethanol production and project development company, announces that, pursuant to a share
option scheme approved by the Board of Directors on 13 November 2008, on 9 December 2008 it granted options over ordinary shares in the
capital of the Company, at an exercise price of 21.0 pence each (being a 25% premium to the average of the closing share prices for the five
days prior to the date of grant), to the following directors and employees of the Company:

Director / employee Number of shares over which options have been
granted
Richard Ruebe (CEO) 350,000
Martha Schlicher (director 150,000
effective from 31/12/2008)
Other Group employees 250,000

The options are exercisable for seven years from 9 December 2011.
As previously disclosed Richard Ruebe holds 30,000 ordinary shares in the Company, and options, in addition to the options announced
today, over 67,782 ordinary shares at an exercise price of 225 pence each. Martha Schlicher has no interest in the share capital of the
Company other than the options announced today.

Would have loved to but train up the coast @17:00.

I'm afraid it's no use to people who bought @2p (old money) and then @150p (new money) - bloody shame had no money available @8p not too long ago. Somebody else is going to get the prize but that's business.

mesquida,

To be honest I know very little about this share. I'm only here because I have a large interest in NAS.

I have no strong feelings either way about staying in the unquoted vehicle. I suppose it depends on one's liquidity position and whether one feels there are better risk/reward plays in the market.

puffintickler - where exactly in the Offer statement are the words that make you think that the unquoted option is not available to HENDERSON. In my opinion it is a given that the threshold for this option will be triggered.

DesWalker - you seem a little cynical about the unquoted option - did you spot today that Richard Griffiths has now been buying above the bid price. I am now seriously thinking about buying more in the market so as to protect myself against the possibility of only getting a relatively small allocation of shares in the unquoted vehicle. Surely you would agree that the really best rewards are often made off the market, although I have to agree that this was not the case with CLIPPER which I think was the last time that our paths crossed!

Not sure myself. Some alternatives ...

- very unlikely it is someone who is short and needs to cover sooner rather than later and hence is willing to pay a premium.

- more likely is someone wishing to in effect buy an option for 0.5p that a higher takeover offer is made by someone else.

- also fairly likely, that someone is very keen to get involved via the unlisted alternative and desperately needs 10% to meet the threshold and hence is keen to pay slightly over the odds to get up to this figure.

I don't hold here but on balance if I did I'd definitely be selling to get my cash out quicker and secure the tiny premium. IMO, DYOR

Any theories on why the current price is over the £1 on offer? I have a break even of £1.03 so it would be some small consolation to get back to that point after all of the years of waiting. It just doesn't make sense to me how I could get more now than waiting to take up the Offer.
