Result of General Meeting and Total Voting Rights

GRC International Group plc (AIM:GRC), a leading supplier of IT governance, risk management and compliance products and services, is pleased to announce that at the General Meeting held earlier today in relation to the Company's proposed Placing and Acquisition of Data Quality Management Group Limited, all resolutions were duly passed.

Application has been made for the Placing Shares and Initial Consideration Shares to be admitted to trading on AIM. It is expected that Admission of the Placing Shares and Initial Consideration Shares will take place at 8.00 a.m. on 5 March 2019 and dealings in the Placing Shares and Initial Consideration Shares will commence at that time.

Following the issue of the Placing Shares and Initial Consideration Shares, the Company's total issued share capital will consist of 64,484,172 Ordinary Shares, of which none are held in treasury. The figure of 64,484,172 may therefore be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Group, under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
