6th Feb 2019; 6th Feb 2020 & 6th Feb 2021 ... 1/3rd of the total exercisable at 78.5p on each anniversary.

Would expect they get the lot if any takeover activity completes.

250k shares per period for AS (750k total).
123k each period for JA (370k total).

Remuneration is, and has been since they joined, staggeringly out of line with shareholder returns.

A sickening & scandalous theft from shareholders. The vegetables have squandered 58 million pounds, given away Sensium, decimated the share price, filled their own pockets with bloated salaries, and impoverished shareholders with the collusion of their BOD cohorts. Nothing but inexcusable and unforgivable greed & dishonesty - shame on the institutions for letting the crooked parasites get away with it.

Seeing as we're now back way below the hurdle price I'm sure they'll do the decent thing and not take up the options.

Hurdle was cleared....

Frontier also announces that on 6 February 2017, it granted options to senior management over 2.5 million Ordinary Shares, representing approximately 5.85% of the current issued share capital.

The options shall vest in equal proportions over two, three and four years at an exercise price of 78.5 pence, being the average mid-market closing price for the 30 days prior to 6 February. The options become exercisable either on the date of vesting providing the mid-market closing share price has been greater than 160 pence for 30 consecutive days ("the Hurdle") during the vesting period, or during the period from vesting up to ten years from date of grant assuming the Hurdle is met. Should the Hurdle not be met, the options shall lapse.

Agreed. It is disgusting that they are so overpaid for decimating the share price. Mumbles Sethill has shafted us again by tanking our share price from 200 to below 140. It is criminal that his and Johnny App(etite)s' salaries and options are not considerably more 'modest' in line with their consistently abysmal performances. Is it true that the BOD vegetables have been paying themselves 3,000 pounds per meeting? What do they actually contribute, other than dilutions from awarding AS & JA unmerited share options?

"Too many jollies and business class flights for my liking." Is there any evidence?

Didn't they say R&D has remained stable at £6.5m? R&D was £6,52m against £6.58m.
Administrative expenses went up from £6.8m to £8.4m though.

To be honest CTAG was a fairly obvious scam from the word go. You only had to look at the offer document to work it out.

On FST the stock is completely over sold but the extra costs look excessive. First thing I will do when the annual report comes out is look how much the the board have taken out.

The low valuation might trigger a bid from the likes of Kestrel as they will see the value if they strip the excessive costs out of the business.

If so management will have shot themselves in the foot as they won't make that much on the options they dished out to themselves last year.

The cautious nature of forward looking statements is a correct one. We do not know the exact numbers of 3rd party smart speakers will be sold. However, it is clear FST have won 10 design wins for the google voice assistant speakers that will start shipping in the 2nd half of 2018, but it all depends how well the 3rd party manufacturers do in selling them. We also know that there are 20 models out there that use the Google Chromecast technology.

The R&D expenditure is necessary to get Amazon's Alexa and Airplay 2. I don't really see how FST can get around by cutting costs and get things done on the cheap.

I would rather lose money to a company that tells it like it is than to lose money to some fraudsters who pump up the share price for short gain. You just need to look at Cloudtag.

I admit, it has taken FST too long to get to this point and I think they should rightly be challenged on this.

It is good market practice that non-exec Directors only stand for 6 or 7 years.
The main disappointing thing is they aren’t generating more cash.

The financial discipline appears poor.

Turnover for vanity, profits for sanity.

The share price fall is very odd because the trading update of 21st Jan gave us most if the info we now have so nothing new. Perhaps people didnt read the trading update. Oh I suppose the changes to the Board is new.

I fully agree with you life of crime. Although disappointed at this week's share price fall, I'm going to continue to hold and be patient for the Smart Audio to come to them.

Rob not that it matters much but HY resigned on 8th Feb 2016 and Apple pulled the plug in April 2017. Makes you wonder if Apple got worried about the future of the company when he resigned and then put events in progress to end up where we did.

As I said yesterday, the share price was bound to take a hit short-term on the "modest" growth outlook. However, having witnessed IMG's over optimistic forecasts over the years, a bit of caution from Frontier is welcomed. The main source of the caution is their uncertainty over how quickly third-party smart audio devices will take-off, which is unsurprising given how new the market is.

FWIW, I think it will be a hot sector in the second half of this year, when consumers can buy speakers that include Alexa, Google and Air Play 2, courtesy of Frontier. Until then, I suspect people will stick with Google Home and Amazon Echo, which Frontier do not feature in, hence their forecast of 2-3 years before third party devices really take off. I think that is a bit pessimistic and would price in 1-2 years, with DAB going from strength to strength in Europe in the meantime to support revenues.

This is a longer term play, but so was IMG and if you got out at the right time it was more than worth it. Frontier looks similar to me and provided HY only has an advisory role, he could be a good addition.

Continued loses, increased costs & 'modest growth' outlook more than offset positive sales growth. Why buy when fall so far hasn't triggered a buying wave. (Although a few just went through so perhaps we're getting near to bottom?!)

amt - you don't recall correctly.SHY left ONE DAY before Apple notified IMG they wouldn't be using PowerVR IP in future SoCs.Of course, IMG then left it as long as possible before informing the market of this news, but stock market rules never did seem to apply to them....
