a company entering a Formal Sale Process should not be taken as proof that a bid has been made or is coming.

Take Audioboom (BOOM)
10th February:
"notes the recent media speculation and announces that the Company has retained Raine Advisors Limited ("Raine") as its financial adviser in relation to examining strategic options for the Company, in order to deliver maximum value for its shareholders"

so, there was media speculation. However, we were told:

"The Company confirms it is not in receipt of any approach at this time. There can be no certainty that this will result in an offer"

five days earlier, the shares had traded at 208p. This announcement pushed the shares higher in subsequent sessions, to a high of 275p.

on the 19th of February, the company clarified that its discussions would take place under a Formal Sale Process.

No bids were announced to the market.

Toward the end of this RNS of October 14th, the company announced the end of the Formal Sale Process and a fundraising:


"the Company engaged with several interested parties during the process"

(sound familiar?)

"potential deal structures and outline valuations were proposed and considered...there has been limited interest in paying the level of premium to the prevailing share price that the Board considers would represent appropriate value for shareholders and, as such, the Board has not taken these discussions further."

this means that IF bids were received, they would not have been attractive to shareholders. It looks as though a trade buyer valued Audioboom at a much lower price than the stock market.

Audioboom shares currently trade at 177.5p, significantly below the price at which the 'strategic options' RNS was issued.

Eurasia Mining shares traded at 17p the first trading day after its FSP was announced. Before suspension and talks of a bid, the shares traded hands at 7p.

Audiobooms failed FSP endured for 8 months. Eurasia Mining's FSP is 3.5 months in.

Congratulations to anyone that sold in the 30s.

Looks like they are trying very hard to get hold of stock.....all the tricks coming out, drop it fast, hit stop losses, get hold of stock, then raise it rapidly (whilst keeping it in a trading range) so the weak think its a good time to sell and they get hold of stock.Perhaps them pesky MMs are short of stock and struggling to get what they need. If that's true and they can't get stock using these methods they will need to let the price go.We will see. Of course, the above could all be bollux
