ZAI will be removed from the register of nominated advisers at 7am 19 October 2017 so as to provide additional time for those AIM companies for whom ZAI currently provides nominated adviser services, to appoint a new nominated adviser. 17/7/2017 18:28 | This does not look like a good deal for long term holders of equity. They have agreed to issue at the very least 556 million shares. At what price? Well, some are suggesting the same price as what Ebioss exchanged shares to wipe their debt out (5.5p). But, that price would be an awful deal for holders of EQTEC. EQTEC Iberia had revenues of about £2 million million and is loss making with net assets of less than a million pounds. To issue more than 550 million shares to buy such a company at price of 5.5p per share is insane. Even at 1p it looks overvalued - the only beneficiary here is Ebioss, who have a majority controlling stake in EQTEC Iberia. Madden is hanging in there since he has nothing else to do but to continue to reap what he can. | yasx | |

Here is one very significant near term concern: the Altair debt which is due shortly (by the end of the month), and which is not far off the value of the entire m/c of the group as it currently stands. How will they pay it off? Placing? How many shares will need to be issued at, say, 1p, to generate that amount? What alternative debt instrument or facility will be used to offset it? Or will it be restructured, again to the detriment of existing holders? Do not take my word for it, this a couple of months ago from Madden: The validity of the going concern basis is dependent upon additional financing being obtained for the development of, and revenue generation from, the principal assets of the Company and the refinancing of existing debt facilities with Altair Group Investment Limited ("Altair") which are due to be repaid in July 2017 . As no definite agreement has been concluded on either of these a material uncertainty exists in relation to the Company and the Group's ability to continue as a going concern. Note 12b of the interims highlights the Altair deal: "refinanced by way of a new two-year 7.5% GBP2 million Convertible Secured Loan Note ("CSLN"), repayable in July 2017" | yasx | |

10/7/2017 11:07 | I bought some of these a couple of months back at 4p but sold soon thereafter for a tiny profit, as I came to the realisation that transparency was poor, and as Warren Buffett said, don't invest in something you don't really understand.Good luck to all holders though... if you understand what's happening here I would think there might be a chance for a good profit from these levels... but it's too risky for me.NAI | cyberbub |
