Scrip Dividend

The Board of Conister Trust PLC announces that it will be offering a scrip
dividend alternative in lieu of the interim cash dividend of 0.3p per share
which was recently announced as being proposed in respect of the company's
half-year ended 30 June 2005. The reference price of 36.5p per share is based on
the average of the middle market quotations for the Company's shares for the
five business days commencing 21 September 2005 as derived from the Daily
Official List. The entitlement is therefore 1 new share for every 122 ordinary
shares held on the dividend record date of 23 September 2005. In accordance with
the Company's Articles of Association any balance remaining will be carried
forward to the next dividend payment date.

If all shareholders opt to receive ordinary shares in lieu of their dividends, a
maximum of 232,399 shares would be issued representing 0.82 per cent of the
current issued share capital.

Application will be made for up to 232,399 ordinary shares to be admitted to AIM
in respect of the scrip dividend alternative on 3 November 2005 and trading in
these shares is expected to commence on 3 November 2005.

A scrip dividend letter is being sent to all shareholders on 30 September 2005
and copies are available from the Company Secretary, Conister Trust PLC,
Conister House, 16-18 Finch Road, Douglas, Isle of Man, IM1 2PT.

Applications for the scrip dividend must be received at the registered office
stated above by 10.00 a.m. on Friday, 21st October 2005.
