                              Scheme of Arrangement

The Company announces a revised timetable for the Admission of Conister
Financial Group Plc to AIM. The Scheme is  expected to become effective and
dealings in the new holding company, Conister Financial Group Plc, are expected
to  commence on AIM on Thursday, 31 January 2008.
