I am not sure about the inheritance tax rule .

I have a large holding held in my ISA. Since ,on my death, my ISA is transferable to my partner`s ISA ( held with the same broker ) IHT does not apply.

One of CML`s strengths is that they have always had more than enough cash to fund research and development; they have spent considerable sums doing so.

I agree that any cash from the sale of land puts them in a powerful position in an over indebted world. Hats off to the management for thinking long term.

CML only switched to AIM from a full listing in mid 2021. Not sure if that limits anything under the IHT rules but thought I would highlight that fact!

I invested in CML a week ago. The deciding factor was reviewing the CML Balance sheet. There is clearly deep value here.

In addition, CML is partly IHT qualifying. The reason I say partly is because the Group has an "investment property" the company used to trade from which is surplus to operational requirements. Now that they have received planning approval it will be divested once final approval is received on completion of the necessary Section 106. Then, it should be fully IHT qualifying making CML eligible for IHT portfolios run by wealth managers. Moreover, when the current significant cash balance is further enhanced by this sale, it will accelerate growth through increased R&D spend and acquisitions.

Oval Park Planning Progress

State of the art business hub planned for land excess to CML's trading requirements at its current 29-acre site

CML Microsystems Plc, which develops mixed-signal, RF, and microwave semiconductors for global communications markets, is pleased to announce that conditional planning approval has been granted at its current 29-acre site located at Oval Park, Maldon.

On 26 September 2022, the Company announced that it had signed sale contracts with two separate parties, subject to planning permission. At a meeting of the Maldon District Council on 16th February 2023, conditional planning approval was granted on all four planning applications relating to the development of Oval Park (Application numbers 2200840FUL, 2200858FUL, 200841OUT and 2200837FUL). Final approval is subject to the completion of the necessary Section 106 Unilateral Undertakings relating to the payment of a financial contribution towards the County Council's costs of monitoring a Travel Plan. The decision notices granting planning permission should be issued once the Unilateral Undertakings are complete which is expected shortly.

The transformation of the brownfield Oval Park site is expected to bring over 200 jobs to the district by 2024 and potentially many more in the following years. Two world-leading organisations, Maldon Crystal Salt company and Tecniq, plan to relocate to the site providing the cornerstone of the development of Oval Park.

Works on the site are expected to commence this Autumn.

The CML tip in IC today is very good and comprehensive. I won't post it here but this last paragraph sums it up well...

"Takeover potential
Frankly, if the shares don’t re-rate then CML’s shareholders should expect interest from predators given the low-ball rating that is being attributed to a high-growth technology business operating in a sweet spot, and one underpinned by secular growth drivers. Buy."

It’s a 60/40 cash/shares deal, not just cash. They say earnings enhancing from year 1 which is also a good indicator.

“Up to $18M” (at £1=$1.20 = up to £15M) so an earnings element too, I assume. For now it’s less and only 60% of it from the cash pile. A maximum cash outlay of £9M. So loads of cash left yet.

I like to think that CML sees this acq. as a significant step in strategy as well as a tactical broadening of the current business. I'm glad that Chris Gurry's words do refer to the strategic aspect, but "multi-year growth strategy..... over the medium term" could have been stronger regarding growth.

Can't complain about the recent share price movement but that cash pile building over the last few years did need to be used, and I'm staying positive.

An acquisition for cash is a bit of a dent in the cash pile
They say it will be earnings in the first year
UK companies don't have a very good track record for making purchases in the US so it is an open verdict for me currently

There is no rush with the property works/sales as the company is doing well anyway
Strip out the cash and the PE is not high for a tech company
As ever I would like a pull back to top up!

Any future sale of surplus land should be seen as icing on the cake. CML is doing very well, and is likely to continue doing so, regardless of if or when the surplus land is sold.

The company is reaping the rewards of the considerable sums that they have invested in R&D annually.

The market appears to like the fact that profits should be well over £4m for the full year
Strip out the cash balances and this is currently valued around £55m for the business and the property

Nothing to get overly excited about in the results
Delays in planning until first half of next year means nothing before April/May so maybe a sale around this time next year depending on the state of the buyers finances of course
So steady as she goes with a 25% increase in interim dividend
The cash balance should start to earn interest as well now
