Clarification of Payment Arrangements for Licensing Agreement
13th December 2023


Further to the updates of 2 and 21 November, the Company would like to remind shareholders of the following:

The agent will contact shareholders (or their investment platforms) by email not by post.

Shareholders will be required to complete the relevant paperwork including Internal Revenue Service form(s) and are reminded to seek appropriate tax and legal advice.
The company would also like to reiterate to shareholders that contact from agents/investment platforms shall commence week starting 18th December in accordance with the 4/5 weeks’ timeframe stated in previous updates
The Company understands the licensing agreement to be an income event not a capital event for tax purposes.

Payment by the agent is made in US$ promptly once correct and complete documentation is received and verified via its portal.

Further Payment Arrangements for Licensing Agreement

21st November 2023

Further to the update of 2 November 2023, the Company is pleased to confirm that the appointed agent for the distribution began its proceedings on time, during the week commencing 13 November. Shareholders are reminded that the process takes around 5 weeks to complete.

Shareholders will be contacted by the agent to provide specific information in a timely fashion to enable payment. The agent’s portal has two level verification so you will need to provide your name, address, contact details and bank details. Further, you will need to select and complete the relevant IRS (US tax) forms as appropriate:

Form W-9 – US entity (US company or trust) or US citizen or resident
Form W-BEN – Foreign individual – ie non-US citizen or resident
Form W-8BEN-E – Foreign corporation or Foreign Trust

There is a support desk on the agent portal for questions.

Those holding shares via investment platforms will be contacted directly by the relevant investment platform.

The Company will continue to update shareholders during this specific period.

Contact to share platforms this week in theory

2nd November 2023

Further to the update of 20 October 2023, the Company reconfirms that there are two separate deals. The first is for its licensing agreement and the second will consist of proceeds from the DaaP sale. The Company is pleased to herewith confirm details for the distribution of the first payment tranche to shareholders for its $50m licensing agreement.

The appointed agent will commence the distribution process during the week commencing 13 November. Thereafter, shareholders will be contacted either directly by the agent or by their investment platforms. Payment will be made to nominated shareholder bank accounts and investment platforms 4 to 5 weeks after the process commences.

Cheque still in the post - but....

20th October 2023

The Company is delighted to announce that shareholders will receive payment in two tranches.

The first payment is for its $50m licensing agreement. The licensee is a global electronics business with no footprint in MedTech.

Shareholders shall be notified of the payment date, agent and distribution details will follow by week commencing 30th October.

The second payment will consist of proceeds from the DaaP sale. The DaaP sale announcement will follow after the next statement has been issued as an enhanced payment is being negotiated.

The Company had received confirmation from the buyer that it’s DaaP sale announcement will take place by end of week 16th October.

Shareholders will be aware of changes made to the Company’s website ahead of the announcement.

All details in the 1 June update remain in place.

Well an American flag has popped up on amit's webpage a day before the daap sale announcement deadline which to my mind means there's a significant chance that it'll be announced tomorrow that J&J (American-registered) who have previously bought businesses owned by the Ben Haim bros have just executed on an agreement to buy ctag & the IP in full for $275m further to the announcements on the company website. Dapp sale monies to join the licence sale monies in escrow which will then be paid to shareholders over the next 4 weeks.

Quite happy with the positive sentiment the starts & stripes are bringing to the ctag website this evening. non-holders can suck it. :D

The difference with the Pat 4 is that they're here in the UK. Amit is off hiding outside of the UK and is therefore outside of the reach of the "long arm" of the law!

Well, I suppose that things are "on track" according to Amit's very latest claimed timeline.

The teensy issue is of course that Amit has to date issued over ten timeline statements regarding either the licensing deal or the Daap deal and every single one of those has been missed.

But hey, if anyone's prepared to ignore his literally undeviating track record of issuing false dates (which has followed on from his even more lengthy track record of spouting complete untruths regarding CTAG), then sure, everything looks just peachy.

Running that timeline, week ending 6th October (anticipated) for the daap annoucement, the company stated 1st June that distribution would take place within 4 weeks of the daap announcement (by company unknown). Therefore looks like we're 'on target' for a payout between 9th Oct and 3rd November.

I wonder who all the players are at the J P M health conference. It's today, 11th until 14th Sept. Moderna (one of the Covid winners $$'s) is there as well as these and probably more

The CEO is participating in the Morgan Stanley 21st Annual Global Healthcare Conference.

The DaaP sale announcement will follow by the week ending 6th October 2023.

The Company confirms its book closure. The final number of shares in issue is 999,895,500.
