Acquisition of EBS Management Plc and related companies.



Charles Stanley are pleased to announce the acquisition of EBS Management Plc,
EBS Pensioneer Trustees Limited and EBS Self - Administered Personal Pension
Plan Trustees Limited (the "Companies").



The Companies specialise in the setting up and administration of pension schemes
for individuals and small companies.



EBS Management Plc has over 1,400 clients and administers Pension Funds with
assets of over #700 million. Revenue to the year 30th September 2002 was #1.3
million.  The initial consideration payable was #610,000 with up to a further
#540,000 payable subject to certain conditions.  All the consideration will be
satisfied in cash and loan notes.



We are delighted to say that Dryden Gilling-Smith has agreed to continue as a
non-executive director of the Companies for at least the next 5 years.
