theheadchef - the end looks like a bit fat cash cow with no debt, relatively few staff, reasonable overheads and regular big fat dividend payments to long suffering shareholders. No rubbish investments in rubbish websites, no rubbish deals to borrow money at rubbish rates. A clean, lean, dividend machine. IMHO it shouldn't require a hoard of fat cats to manage the process of receiving a dividend cheque from SIS, paying it into the bank and then divvying up the majority of it to shareholders. At some point hopefully someone will make a massive offer for SIS, which will cause a massive jump in the CMX share price and we can all move on.

("Catalyst" or "the Company")

Restructure of borrowing facilities

The Board of Catalyst is pleased to announce that it has restructured the borrowing facilities that were in place with regard to its investment in Satellite Information Systems (Holdings) Ltd ("SIS").

The Company has repaid in full the loan outstanding with National Westminster Bank plc("Natwest") of £4.1 million. Following this repayment Catalyst has entered into a new loan agreement with Natwest for the sum of £3.675
million together with a further revolving facility of £500,000. The terms inter alia provide for payment of interest at 3% over LIBOR and the loan is repayable no later than 31st December 2011. The sum of £3.5 million due to North Atlantic Smaller Companies Investment Trust ("NASCIT") which carried interest at 13.25% p.a. has also been repaid

Total borrowings of the Company have therefore been reduced from £7.6 million to £3.675 million with interest being rolled up until repayment. All dividends receivable from SIS are to be applied to reduce this loan.

CMG is pleased to announce that on 9 October 2008 the board of Satellite Information Services
(Holdings) Limited ('SIS'), in which CMG has a 20.51% shareholding, approved a dividend of
£15 million in respect of the retained earnings brought forward balance as at 31 March 2008.
Accordingly, CMG will receive £3.07 million, payable by 17 October 2008.




The dividend will be applied in full to the repayment of the Company's facility with RBS, which will
reduce the balance owing to RBS to £1.25 million. The Company's total net indebtedness following this
repayment will then be reduced to less than £4 million.

Just the intention of the two new shareholders, they must have bought in for a reason and whilst I am quite going to dig into the owners of Jersey Homes (Development) Ltd. The fact that there is a marketing man investing there must be some appeal to his field. Well I mean this is nothing but a cash(well debt) shell with a shareholding.

2GAME, that would be slightly odd but not beyond the realms of reality.
CMG owns 100% of the Company that holds the SIS stock, still obtaing 20% of the voting rights is quite meaty on the board, trouble is I don't know with SIS being a private Co. what is in their Mem and Arts regarding controlling share, voting rights etc.

Hi,Chef.Google 'bookies may part with SIS stake' - it seems there's a war but they're trying to make peace - which would be good for SIS and hence CMX.Sorry,I can't do links [don't know how !]
