CareTech Holdings PLC (AIM: CTH), a pioneering provider of specialist social care and education services to adults and children in the UK, announces that application has been made for additional block admissions for 2,088,126 ordinary shares (the "CSOP Shares") of 0.5 pence each ("Ordinary Shares") and for 515,146 Ordinary Shares (the "Sharesave Shares") (together the "Block Admissions").

The CSOP Shares will be reserved under a new Company Share Option Plan block listing and will be allotted from time to time in connection with the exercise of options granted in 2020 pursuant to the Company Share Option Plan. The Sharesave Shares will be added to the existing CareTech Employee save-as-you earn share option scheme block listing ("Existing Block Listing") and will be allotted from time to time in connection with the exercise of options granted in 2017 and 2020 pursuant to the C areTech Holdings Plc Sharesave Scheme(1) . When issued, the shares will rank pari passu with the existing ordinary shares.

It is expected that the Block Admissions will become effective on or around 10 December 2020.

Block Listing Cancellation

The Company currently has 176,147 Ordinary Shares block listed under its CareTech Holdings 2005 Approved Executive Share Option Scheme (the "2005 Approved Scheme") and nil Ordinary Shares block listed under its CareTech Holdings 2005 Unapproved Executive Share Option Scheme (the "2005 Unapproved Scheme"). All options under the 2005 Approved Scheme and 2005 Unapproved Scheme have now either been exercised or lapsed and, as a result, the associated block listing has been cancelled.

Since the last block listing return was announced on 3 June 2020, the Company has allotted 519 Ordinary Shares under the 2005 Approved Scheme and no allotments have been made under the 2005 Unapproved Scheme.

CareTech also makes the following notification pursuant to AIM Rule 29 and Schedule Six of the AIM Rules for Companies, regarding its existing block listing (excluding the additional block listing applications above and those block listings that have now been cancelled):
