Hi 9degrees, licences typically lapse in the event of insolvency, so unless someone takes Uni Pixel on including all it's debts then the licence agreement will most likely fall away. So hopefully you're right , if the technology has any ongoing value it can be relicensed afresh...for more money🙂

See post 470 The board is pleased to announce that it has agreed to license CIT Technology's ("CIT") fine line technology ("FLT") to UniPixel Inc. ("UniPixel"). In consideration for the grant of an initial five year FLT Patent License ("Patent License") to Unipixel cash. CIT has also granted a royalty free Intellectual Property License ("IPR License") for UniPixel to use CIT's know-how for metal mesh touch screen technology. I wonder if this means that these licences will now be dead in the water and Carclo can then sell the licences to another company if the technology still has any value ?

Thankfully the uni pixel deposit was non refundable from the latest AR "In the year to 31 March 2016 an agreement was reached to license CIT Technology’s ne line technology to UniPixel Inc. for an initial ve year period during which CIT receives per annum payments of the greater of US$1.65 million or 1.67% of annual net product sales. An initial, non-refundable cash payment of US$4.67 million was received at completion and this was recognised as income on receipt. Royalty payments in excess of the initial cash payment may be paid by UniPixel in either secured loan notes or cash" So I'm guessing the impact will be limited going forward , it'll be interesting to see what happens to the tech but it's still a sideshow to the core business imho...but interesting & thanks for the heads up 🙂

Uni-Pixel goes bust:It hasn't filed petitions yet but expects to in "the next 1-2 business days."The company has let go all employees effective today.It says it's obligated to advance expenses for the defense of former executive officers Reed Killion and Jeffrey Tomz against an action brought by the SEC. Uni-Pixel intends to use bankruptcy to sell its assets (including manufacturing equipment, R&D and IP assets) individually or in totality.Three days ago, Western Alliance Bank notified the company it was in default of a loan and security agreement from last October, and that it was invoking a default rate of prime plus 6.25%. Uni-Pixel says the amount outstanding on that agreement is about $621,000.

Hello Not a holder here however its one which I've always been meaning to run the numbers on. In that regard, does anyone know what sort of gross margin these guys generate? Its concerning to me that they dont disclose it given that its an indication of level of value-add; from a valuation perspective, its also pretty important given it helps understand the sensitivity of the bottom-line to top-line growth. I'm not sure they're one for me at the moment - they look cheap relative to growth rates however, given where we are in the cycle, I'm taking a much more critical view on level of debt in company's balance sheets at the moment, particularly of companies which could be cyclical. Keen to have the numbers run though so that I can judge it properly. thanks Adam

9degrees, I really don't see any further cash payments coming in from Unipixel. CAR got the first almost 3 years worth in cash which was a great deal for us. The next 2 years worth can be paid in loan notes.so no more cash for the foreseeable? But even loan notes would be something of a bonus I guess. cheers

9degrees, it's impossible to say from CAR's point of view - there's nothing in the recent Annual Report. All of UNXL's news flow is here. They seem to be winning lots of business and announcing new deals, but as ever with them the key is cash flow etc. I suspect if you want to plough through UNXL's SCE filings there might be a snippet or two, but really this will just be an added bonus for CAR if anything comes through from now: Https://finance.yahoo.com/quote/UNXL/?p=UNXL

UniPixel has been granted an option to extend the Patent and IPR Licenses beyond the initial five year term for a further 10 year term in exchange for annual royalty payments of 1.67% of net product sales. During this renewal term, total cumulative royalties are capped at US$8.25 million. The maximum amount of royalties payable under both the initial and renewal agreements is capped at US$30 million (equivalent to approximately GBP20.2 million at completion). Both the Patent License and the IPR License are exclusive for two years in the field of metal mesh touch screens. .

The deal for Derry, N.H.-based Precision — completed in October — is allowing Carclo to do low-volume medical work in-house, according to business development manager Robert Strom. Medical products made by Carclo include lab pipettes and trays based on polystyrene or polypropylene, Strom said at the UBM Advanced Manufacturing Expo, held June 13-15 in New York. Carclo's optics line — including LED optics — also is seeing steady growth in the U.S., added Strom, who's based at the firm's Latrobe, Pa., location. Custom products in that line can be based on polycarbonate or acrylic. Carclo also does work with contract manufacturing of assemblies, as well as parts for IV bags, inhalers and surgical devices."

The latest Barnett Waddingham paper shows very little change in 15-year corporate bond yields or long-term inflation expectations between end-March and end-June - meaning I think that there has probably been relatively little change in the liability side of the Carclo pension scheme between the 2 dates. Quite a retrace but perhaps not surprising. I don't expect any particular downside from here, ~160p having been a previus peak on three occasions in the past couple of years and now offering support. Agm statement around the end of next month should at least give reassurance and possibly more, leaving any minor dips from here as potential bargain points. The progress of interest rates for their effect on the pension deficit will remain an interesting factor to watch in the coming month or two.
