Its a good job i dont post here anymore or we would be discussing yet another asset write off
.
35M shares in some mickey mouse offshore company who are having to delist from aquis so they dont have to do an RTO with Weshop
.
We have seen more write offs with Brandshield than we would have with Aviva.
.
Still cant get my head around the last TR-1 if we are dumping weshop unless it is Infinitus who are replacing weshop

What is it if not cash?

The weshop website has recently launched and should now begin to create revenue and value. We and the other weshop shareholders have funded the business and just as it launches are then expected to sell it off?

Two options as far as I can see.

One. The existing shareholders keep developing the business.
Two. The existing shareholders sell a proportion of the business but retain a stake no less than 25% non dilutable (ie full rights to buy into any fundraise to maintain their existing holding %age).

These guys want the weshop business for a reason. It’s not charity time.

Doesnt look like it was a great investment but at least they are getting cash in from an illiquid assets and can concentrate on the main business. Cost of $4.1m = £2.97m.


At 31 December 2020, the Directors’ view of fair value of the Company’s investment in WeShop Ltd is
$4,153,602. This remains in line with the aggregate cost of investment. While WeShop remains pre revenue
the Directors continue to believe that social commerce represents an exciting and authentic digital
shopping opportunity, particularly post Covid which has driven more traffic on line and away from the high
street. The business has been through a year of focused product development, and operating cost
flexibility by off shoring the development function. The business is making significant progress in terms
of a listing that would contain ground-breaking elements likely to engender excitement. While the
Directors are hopeful of a deliverable transaction at an attractive valuation they consider it prudent to
continue to fair value the asset at cost.

Offer to Acquire Business, Assets and Name of WeShop by Boanerges Limited

 

BrandShield Systems plc (AIM: BRSD), a leading provider of cybersecurity solutions from brand protection to online threat hunting, notes the announcement made by Boanerges Limited in relation to its intention to post a circular to its shareholders. The circular will contain resolutions to be considered by Boanerges shareholders in a general meeting to be held on 18 November 2021, which include approval to acquire the business, assets and name of WeShop Limited, pursuant to an asset purchase agreement with WeShop Limited. This will also require approval of WeShop Limited's shareholders. The full announcement by Boanerges can be found at the following link:

 



The consideration payable is 33,333,333 Ordinary Shares of the Company, and at 75 pence per share, valuing  the assets, business and the WeShop Limited name at approximately £25,000,000.
 

BrandShield currently holds 508,809 shares in WeShop Limited, representing 10.5% of WeShop's current issued share capital.

 

Further updates will be provided to the market as the situation develops.

And on that happy post i will call it a day here and at Bidstack.Life is becoming very dangerous now and you may have to resist and fight for the right to live..I said at the time what was happening to the elderly who were dying in their thousands in care homes would be a crime against humanity and i also said the Astra vaccine would kill due to blod clotting.Its going to get worse.At least we have Brandshield to protect us from the bad guys
