Further to its announcements of 25 March 2019 ("Announcements"), Bonhill (AIM: BONH), a leading B2B media business specialising in three key areas: Business Information, Live Events and Data & Insight, is pleased to announce that all resolutions put to shareholders at the General Meeting held earlier today were duly passed.

As a result, it is expected that Admission will become effective and that dealings in the 11,904,762 Placing Shares and 2,380,952 Initial Consideration Shares will commence at 8.00 am on 10 April 2019, when it is expected that Completion of the acquisition of Last Word Media will occur.

Total Voting Rights

Immediately following Admission, the Company's issued share capital will comprise 48,585,692 Ordinary Shares. Each Ordinary Share has one voting right. No Ordinary Shares are held in treasury. Accordingly, the total number of voting rights is 48,585,692. The above figure may be used by Shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.

Directors' Participation

Certain Directors of the Company participated in the Placing by subscribing for Placing Shares at the Placing Price and their resulting shareholdings immediately following Admission are detailed below:
