The Insider: BATM Advanced Communications.
By Lee Wild | Fri, 1st May 2015 - 08:55

BATM Advanced Communications (BVC) boasts a long history of profit warnings and disappointment. Despite a strong end to 2014, the company still lost $3.7 million last year, and there’s currently talk of a serious dispute between the partners in the Israel Broadband Company (IBC) fiber-optic venture, among them BATM.

However, losses were over $6 million in 2013, and management think the networking solutions and medical lab systems firm can improve again this year.

"The medical division is now the dominant business whilst the telecom division has stabilised and is recovering well," says chief executive Dr Zvi Marom. "The underlying fundamentals of the businesses are sound and, were it not for the foreign exchange impact in reporting the results and the one-time write-off of the legacy business inventory, the numbers would have reflected the progress achieved in the year."

Still, BATM shares still languish at levels not seen since 2003 and the aftermath of the dotcom crash. It's clearly a level at which BATM founder Dr Marom cannot resist building his stake.

This week, he spent over £250,000 on 2 million shares at 12.625p each. He now owns 96.4 million in all, 23.9% of the company, worth more than £12 million. Earlier this month Marom snapped up 500,000 shares at 12.5-12.75p.

Yes thats another real possibility that they are looking at unloading the telco division especially after the israeli contract fiasco i doubt they have much of a stomach left for it
Still we dont know. I also doubt a management buy out at thos point in time. A few years back maybe
A veritable range of possibilities.

Perhaps Marom thinks there is the potential for a sell off of the Telco arm and he is stake building to increase his personal profits, or maybe a complete take over of the company either way I suppose he is hedging his bets......meanwhile we pi's just have to role along.

I would be inclined to agree with you spekky.
It would also be nice to see the Israeli Infrastructure project sorted out, at the moment all we have is bad news on that score.
As far as the share price moving its just not going anywhere until the bottom line improves or we get some useful sales info......

I would like to think he knows we are superior in sdn/nfv.....but I think he may just be miffed that the market doesn't "get it".In other companies this sort of commitment would bring a good hike in share price ...but not here.
Obviously no major news imminent but surely he must think the underlying story will eventually impress........if not,my big worry is MBO on the cheap.

Whats concerning me is that they have a 12.5% "invested" interest in this project and we know they have already committed millions into this .. (guesstimate 4M to 7M) maybe someone can remember the figure but its substantial.
They should have been able to sell a significant amount of kit to the project and benefit longer term + they should have had a chance to showcase their products alongside Cisco......
It appears that this is not what they envisaged.
OK the markets already know about this and its in the share price ...
The Telco arm ought to be placing some product now that SDN is becoming a reality but that could be slow growth initially.

IMO the Telco arm is going to continue to flounder maybe not thrashing for breath anymore but still.....
Medical side continues to show growth but this is a competitive industry and whilst it all looks promising and they are increasing revenue its not really firing on all cylinders.
Various bolt ons look solid.
After such a dismal performance period management seem to see light at the end of the tunnel. Valuation is not at all demanding and the company is valued almost at book.

Dispute deepens between fiber-optic venture partners
15/04/2015, 17:59
Gad Perez
The Israeli partners are accusing ViaEuropa and Cisco of stealing money.

A serious dispute has emerged between the partners in the Israel Broadband Company (IBC) fiber-optic venture. Sources inform "Globes" that three of the Israeli partners - Rapac Communication and Infrastructure Ltd. (TASE: RPAC), BATM Advanced Communications Ltd. (LSE: BVC; TASE: BATM), and Yehuda Zisapel - are threatening a court petition against ViaEuropa and Cisco Systems, asserting that they are leading the venture with the clear intention of stealing the investors' and the state's money.

According to these Israeli partners, who hold 30% of the shares in the venture, Cisco and ViaEuropa are not cooperating with them, are denying them access to information and the venture's method of operation, and are making completely unnecessary future orders amounting to tens of millions of shekels. They are also asserting that the appointment of former Government Companies Authority director general Doron Cohen as chairman is designed to perpetuate the current situation and conceal the truth behind what is going on in the project. The shareholders contacted the company through their lawyers, and are preparing to file a claim against the venture.

A senior source close to the venture told "Globes" that the venture "is simply being robbed by ViaEuropa and Cisco," and that unnecessary equipment was being ordered on an unnecessary and huge scale.

In view of the severe dispute between the partners, the venture's CFO has been asked to refrain from signing checks, and to stop spending the company's money. As revealed by "Globes," the partners are also demanding the dismissal of the venture's CEO, Danny Lauber, claiming that the appointment was unprofessional. Note that another partner already at loggerheads with IBC is businessman Poju Zabludowicz, owner of Tamares Telecom, which operates an undersea cable. He is suing the enterprise for not paying him money due him under the partnership agreement between them.

Several months ago, "Globes" revealed that the venture had built a communications center (a backup site) in Malmo, Sweden - a completely unnecessary site of uncertain purpose. The decision to spend millions of shekels on building it there, where ViaEuropa operates, was approved by the company board of directors, but it is now being alleged that it was built simply to get money out of the venture, since a project based in Israel does not require a backup in Sweden. Senior executives in Israel Electric Corporation (IEC) (TASE: ELEC.B22), which owns 40% of the venture, also opposed the decision to build the site in Malmo and demanded that it be disassembled and returned to Israel.

Sources also inform "Globes" that an appeal to the Israel Security Agency is under consideration, given concern that the information on communications networks in Israel, including about IEC and Cisco, is being moved to Sweden with no supervision or control by the Ministry of Defense.

A second round of money is currently being injected into the project, with the Israeli partners having already paid their share. In theory, the state is due to inject NIS 75 million, after having already injected NIS 75 million when the venture was founded.

ViaEuropa said in response, "Up until this moment, the company has received no such message. IBC has been dealing for some time with repeated attempts by interested parties aimed at disrupting the company's business. The company board of directors is acting according to strict rules of corporate governance, with complete transparency, and according to the agreements signed by all the various parties at interest before the venture was founded. All the company's actions are taking place according to decisions by the board of directors. Beyond that, an observer on behalf of the Israeli shareholders was also present at the board's meetings. IBC will continue to lead the next fiber-optic revolution for residents of Israel."

Cisco said in response, "Cisco was selected as the technology provider for the fiber-optic venture, is meeting all the terms of the contract signed with Unlimited, and will continue to do so. Cisco is committed to the success of its customers, and will continue to be committed to the success of every one of its customers in Israel."

Telco Systems named NFV orchestration market leader in Heavy Reading research report
Posted by Talia Rimon on April 21, 2015

Telco Systems was among the companies featured in a recent research report from Heavy Reading, entitled: Orchestration for NFV: Specialists Carve Out a Niche.

This report takes at how “specialist vendors of network equipment and OSS/BSS are approaching the challenge of delivering solutions for Network Functions Virtualization (NFV) orchestration.” Over the course of this year, it will become clear who will be able to expand out of their niches and develop a platform play that encompasses NFV.

Perhaps the key factor in determining who will be dominant in this arena is the ability of these companies to establish strong partnerships and ecosystems. Providing lower costs and faster, more flexible services is still driving this industry, and with that, ecosystems allow operators to select a best-of-breed solution, without committing to a specific provider. As these partnerships or ecosystems take root, the focus will be on affordable, integrated solutions and less on technical collaboration.

“Some vendors put their virtualization management on a dedicated server, sometimes colocated with the device, but our approach puts the processing capability at the optimal place – on the device itself, and not centralized in a data center of somewhere in the core network,” Said Moshe Shimon, Vice President of Product Line Management and Marketing at Telco Systems.

“The move to off-the-shelf hardware and open architectures will open the door to new companies that can provide VNFs, VNF management and NFV orchestration; the NEPs don’t feel comfortable about this, particularly when those functions reside in the data center. The NEPs are likely to try and buy specialists to avoid the challenge that their legacy approach brings,” he added.

Heavy Reading highlights Telco Systems’ strategy, unveiled in June 2014, of unified Software Defined Networking (SDN) and NFV services and applications – the Open Metro Edge (OME) portfolio, which includes:

CloudMetro – a family of distributed demarcation and aggregation products, including the CloudMetro 100 platform, supporting distributed NFV at the network edge
ViNOX OS – a Linux-based network operating system for Telco Systems’ CloudMetro platforms (and physical access and aggregation products) supporting multiple transport technologies as well as OpenFlow protocol for SDN, and NETCONF protocol / YANG modeling language
EdgeGenie – an in-house-developed service management system providing end-to-end lifecycle management of services
TelcoController / TelcoOrchestrator – an SDN Controller / resource orchestration system enhancing EdgeGenie, and using the OpenFlow southbound interface; also provides application logic and a northbound API to other business applications
TelcoApps – a suite of VNFs running on the company’s Telco Virtualization Engine and CloudMetro platform, and on third party equipment.

Not much to add recently and the markets predictably were not crazy about the results or the possible lag before they BVC start booking some meaningful sales.
The valuation though is at rock bottom basically for cash and assets only.
Management are calling for a brighter period ahead, in all a bit of a waiting game so investors unwilling to let assets sit dormant.
I don't like the rumblings from the Israeli Telco contract which appears stuck in neutral...... still they are priced to reflect all of this.

Q&A: Telco's Gal Ofel On New Partner Program

by Mark Haranas on March 18, 2015, 2:28 pm EDT
Telco's Gal OfelTelco's Gal Ofel

Software-defined networking (SDN) and network functions virtualization (NFV) continue to becoming more prevalent in the networking space.

Telco Systems, a provider of SDN and NFV solutions, earlier this month launched its Open Edge Alliance partner ecosystem for SDN and distributed NFV solutions for the network edge. Alliance members are able to develop apps that become fully certified components of carrier-grade, network-edge solutions and are able to integrate their product into their ecosystem.

Telco's U.S. headquarters is in the Boston area, and it's hoping to build up an online store of applications certified to run seamlessly on Telco Systems NFV platform CloudMetro, which is already deployed in numerous service-provider networks.

Gal Ofel, head of software solution product line management at Telco, is responsible for the alliance ecosystem and software products. Ofel tells IT Best of Breed about the alliance as well as the trends and future of SDN and NFV technology.

How is SDN changing the networking landscape in 2015?

SDN is changing the networking landscape by providing greater agility, shorter lifecycles and stronger network abstraction. This is enabling new vendors to enter the market, compete and growth much quicker than previously seen. This will start to take hold in 2015 and reach reality in 2016.

What do you see is the biggest trend in SDN and NFV today?

Today it is now understood that SDN is complementing the existing legacy networks and that SDN will have to work in parallel to legacy solutions. What this means is that communications service providers will not be replacing their entire networks, and SDN solutions will need to support a hybrid architecture.

The biggest trend in NFV today is the creation of carrier-grade solution based on the popular open source solutions.

What does Open Edge Alliance create in the industry?

It provides our ecosystem partners many benefits. With minimal investment in the process, which is especially attractive to startups and growing innovators, our ecosystem partners are able to develop apps that become fully certified components of our carrier-grade, network-edge solutions.

They are able to integrate their products rapidly into the ecosystem, which reduces their time-to-market. Most specifically, this ecosystem provides a multi-vendor solution oriented offering for numerous use cases. Examples include enterprise Infrastructure-as-a-service, (Internet Protocol television) infrastructure, activation and monitoring and Internet of Things.

How will the Open Edge help your channel partners grow?

The Open Edge Alliance will help our channel grow in two ways. First, the ecosystem will provide exposure to new market segments. Specifically, the ecosystem will provide a new go-to-market channel for our channel partners selling to enterprises that want to access IT management and security services from the Cloud. This is very important for our vendor channel partners as the overall demand is moving from hardware-based products to software-based services.
Second, our ecosystem provides a framework for both our channel partners and end-user enterprises to benefit from the synergies among the vendors participating in our alliance ecosystem. An example of this is service activation can be integrated with a VoIP gateway and a firewall in order to provide higher value to the end customer compared the use of individual vendor systems separately.

How big of a role do solution providers play in the SDN/NFV market today? Will it always be that way?

We see that communications service providers are actively adding SDN and NFV to their network architectures and roadmaps. The rollout of SDN and NFV technologies are being driven actively by both the communications service providers and the solution providers in two main aspects. Both are working on standardization and joint proof-of-concepts.

How do you think businesses can shift towards SDN/NFV?

SDN NFV projects should be driven through business objectives. In other words, communications service providers should define their SDN NFV roadmaps and rollouts based on revenue generating potential first. At the same time, the risks and costs should be analyzed. An entire network should not be replaced as the risks and costs are extremely high.

Again, the initial projects should focus on activities related to revenue generation. For example, a communications service provider should consider to start with rolling out (Infrastructure-as-a-service)-based services to generate new revenue streams instead of migrating (IP Multimedia Subsystems) platforms to NFV.

Do you see any hot solution providers/VARs startups doing big things in SDN and NFV?

Definitely, software-first solutions will have a significant advantage in design and performance over those that need to migrate existing hardware-based solutions. Startups that are software-first companies and fully cloud-based and managed will have advantages. This allows flexible functionality, pricing and rapid deployment. Our partner Netrounds is a perfect example of such a startup.

Why should SDN/NFV-focused solution providers partner with Telco Systems?

SDN and NFV focused solutions providers are attracted to our large and growing customer base of communications service providers around the world. In addition, our SDN/NFV is fully managed and carrier grade. Channel partners are expressing a lot of interest in working with us because of both of these.
