daisey why should my friends and clients holdings via john adams be ignored ? if ldm doesnt wish to attend a meeting with san prehaps you can instead --although ldm met john adams at last years agm so i fail to see why he is stalling over contacting john adams in the intersets of all shareholders -----the mind boggles

Contacting all the shareholders of the PLC company is one of the main difficulties. As I understand it, after a 10% minimum of a company's shareholders gives 21 days notice of an EGM to the company's directors, the company has to contact all of the shareholders and notify them of the time and place of the meeting. The shareholders can set the agenda, which should contain any questions they would like answered, for instance what was paid for the assets sold recently. Shareholders should receive the accounts for 31 July 2004.

If the directors have applied to wind up the PLC company, there could be a 3-4 month's time limit for a meeting.

you will not get a penny -at best you will get details of the sales of the subsidaries thats all -this will not get you any monies the pot is empty so dont fool yourself --imo the only way forward -and the best way is to back my plan to get these shares re-listed with san's co-operation and support a meeting with john adams and ld machin

IT IS IMPERATIVE THAT EVERYONE HERE ON THIS BB JOINS THE AAG & SHARES CONVERSATIONS & INFO WITH AAG DIRECTLY. FRANKLY THIS JIGSAW IS GETTING MORE FRAGMENTED BY THE MINUTE! PLEASE CONTACT THE AAG ASAP!

HP I STRONGLY RECOMMEND THAT YOU REQUEST THAT CS JOIN OR AT LEAST LIAISE WITH THE AAG TOO.

THERE ARE SO MANY ASPECTS TO THIS SITUATION THAT NEED EXPOSING BUT WE'RE NOT GOING TO DO IT ALONE THAT IS WHY THE AAG HAS A SPECIALIST LEGAL FIRM APPRAISING THE SITUATION THIS WEEK. IF THEY ARE TO BE APPOINTED THEN THE AAG MUST TAKE THE LEAD AND THAT REQUIRES CASH EVEN ON A CONDITIONAL FEE BASIS.

HP IS CORRECT THAT AN EGM SHOULD BE CALLED BUT UNLESS WE KNOW WHAT TO ASK WE WONT GET ANYWHERE!

AS FOR NEW BROKERS TO BE APPOINTED WE CAN'T DO THAT! ONLY THE BOARD CAN APPOINT ADVISERS AND IF WE TURF THEM OFF WE MAY BE WEAKENING OUR LEGAL POSITION WHATEVER IT IS!!

ONE STEP AT A TIME BUT STICKING TOGETHER AND BUILDING OUR POWERBASE TO 50-51% IS A START! IT SEEMS WE HAVE A MERE 10% OR SO AND THAT IS NOT ENOUGH TO GET THE PRESS BEHIND THE STORY!

THE DEMISE OF ARGONAUT A FULL LIST COMPANY DOES NOT BODE WELL FOR INVESTORS OF ALL TYPES. IF MANAGEMENT OF ANY PLC CO'S ARE ALLOWED TO GET AWAY WITH MISLEADING INVESTORS & PROFESSIONALS THEN THE ENTIRE FRAMEWORK OF THE EXCHANGE APPARATUSES WILL IMPLODE. AS WARREN BUFFETT SAID IN MAY 2001;-

"The art of investing in public companies successfully is little different from the art of successfully acquiring subsidiaries.In each case you simply want to acquire, at a sensible price, a business with excellent economics and able, honest management. Thereafter, you need only monitor whether these qualities are being preserved."

Rather poignant in AGT's case I think you'll all agree!

"how we are going to get them" is probably exactly the sort of thing we need to discuss at a meeting of shareholders; i.e., as various people here have already said - a certain minimum percentage holding enables us to force an egm / agm and possibly further disclosures; so, i think we're on our way but ldm needs to tell us how much we speak for, and moscowtrader to tell us or ldm directly how many more from the register he's been able to get on our side

The first time i spoke to Asher was after the announcement of the appointment but before the subs had been sold. He intimated that AGT PLC would receive between 10-15 million,which was what i wanted to hear at that time. I questioned him on this yesterday and he quickly backtracked and changed it to AGT PLC being a creditor for between 10-15 million, and that it would be paid in proportion after preferential creditors (staff i think) based on whats in the pot.

He went on to say he would be surprised if AGT PLC got anything other than a token payment. He would not advise how much the subs were sold for or the name of the company purchasing them,although we know it is a company in which jez san has an interest

He did say that direcors of plc had been kept informed and that it was basically up to them to keep shareholders informed.

I am writing to the directors requesting this info today.

One additional thing we discussed was Argonaut software ltd which was not sold to jez even though he apparently wanted it,he didnt go into detail on this,but there is obviously more to it than that!

we need hard documents which show it was owed that much; hard documents showing how much was paid for the subs; then it's a simple matter of raising a claim along the lines of the railtrack one...

I spoke to Asher Miller of the administrators yesterday and i am even less optomistic of getting anything back now!

I wont go into details on this thread,but will be happy to discuss at a meeting of the action group-if one ever happens.

My question to others on this thread is do they know the name of the trading entity that jez san used to purchase JAM and Morpheme? If so do they also know when they were formed,who the other directors are etc.

The basic info at companies house confirms that jez was/is a director of 14 companies, but i cant get any further info without registering and subscribing. Does any one else have access/subscription to this service? Is there anything we can use?

I really think we need to get moving on this if we are going to challenge what went on, as it looks to me as though PLC is just going to wither and die and will not get anything like the £10-15 million it is apparently owed by its creditors (JAM,Morpheme and Argonaut software)

ldmachin and myself are arranging through john adams C/o charles stanley to meet with jez san to resolve outstanding issues that on the surface it appears that we have a very strong case against the old management ---i am proposing support a motion to appoint new brokers new board and financial advisers at an egm tba with a view to raising fresh money for morpheme plc headed by mat spall --our objective is to buy back the parts from san at the price he paid /stole ? ----------and get the company shares re-listed asap --so please register your support with ldmachin please and join the action and pro=active discussion on advfn
we already have over 10 % enough to call an egm
