Mc An additional placing doesn’t reduce the number of shares you actually hold but it does change the percentage of shares that you own in the company. So the more shares the company issues the less of a percentage of the overall company you own. For big holders, this percentage change affects their disclosure obligations and the various thresholds that trigger an RNS requirement. This is why after a placing, a company will issue an RNS stating the new total shares in issue; so holders don’t fall foul of the disclosure obligations. The Nov RNS is simply stating that due to the October Atome placing the percentage of shares CPH2 hold has reduced. Their RNS was late, which is perhaps what is confusing people.
The selling of their shares due to their(CPH2) precarious financial position is a separate and totally unconnected issue which has caused the drop in the Atome share price Hope this makes sense. |
Exactly. The selling of the Atome shares held by CPH2 is because of the financial situation they are in, as specified in their own recent RNS. I have to say that if the CPH2 Investor Relations team did indeed confirm to the earlier poster that they are selling their Atome shares; then they need sacking!! |
Th dilution occurred because of the placings towards the end of October. |
Billy3 Have a look at the RNS again. You will clearly see at Para 2 the reason for the notification. Copy below: Other (please specify): Increase in Atome shares in issue resulting in shareholder dilution X
Hope this helps |
The Atome dilution ? Dilution suggests the total number of shares Atome have in issue increased meaning CPH had a smaller percentage of shares as a result. You are wrong there.
It clearly states the number of shares held reduced. So one of the percentage thresholds was reached requiring RNS.
If dilution was the reason then there would have to be an RNS for every major shareholder.
So not sure what you mean by ‘dilution̵7;. |
The 7Nov RNS was issued because of the Atome dilution so their percentage holding reduced. Took them a month to notify, so we may not see an RNS reflecting their selling for a while. |
RNS on 7th Nov for Atom confirmed reduction in shareholding of CPH by selling shares.
On 7th November they had 1,412,429 remaining shares in Atome.
I added up and about 80% of Atome shares are held by large investors or Atome staff. |
Thanks pjohn for that info. |
pjohn, thankyou for your response and for the effort you have gone to. |
Atome aren't purchasing any electrolysers or any equipment for that matter directly.
The EPC contract with casale is a fixed price contract to build the entire plant from start to finish with them responsible for procurement. The electrolysers are coming from Longi in China. via the EPC contractor.
CPH2 have been selling off their stake in atome, I contacted their investor relations and asked. |
Yes, not without risk but have bitten the bullet, and topped up a bit yesterday😰 |
That's how I've lost most of my money - averaging down! |
Just read the CPH2 RNS - ouch. If they are a distressed seller and are selling their remaining holding, it would explain the fall here. It could also mean that this is an ideal averaging down opportunity? |
Cerrito: CPH2 was the memory prompt that triggered my two brain cells. I believe the order was cancelled and have a vague recollect that it happened about the time they switched from Hydrogen to Fertiliser.
So, is there a new order with somebody for the equipment to convert water into ammonia? |
From Google's AI: Atome Energy plc (ATOME) has canceled its order for an electrolyzer from CPH2, a UK-based green hydrogen technology company. ATOME had originally placed the order in March 2022 for a single 1MW MFE220 electrolyzer.
They are going to need much more than 1MW! |
So do we know if they have got another supplier? |
driller81, what you say about Cph2 selling down makes perfect sense. The £700k odd worth of ATOM shares CPH2 held after selling down to 2.95% will be needed by CPH2 after reading their fund raise RNS this morning. The fact that it makes sense does not mean that it is happening. Mcunliffe1, you may be referring to the order placed by ATOME with CPH2 some years ago. |
Is anyone able to provide an update on the electrolysis equipment (or alternate) that is being proposed/purchased and any kind of timescales?
I have a vague recollection that an agreement was reached with some equipment manufacturer but it went pear-shaped.
TIA |
Presumably the share price slide relates to CPH2 disposing of some of their stock (at a loss). Looking at the TR1 %'s they've offloaded 25% and could easily be continuing that sell down without any further disclosure. Will probably make more sense for them to take the hit than try raise money at an 85% discount to their IPO.Business case for Atome seems in tact and looking forward to seeing this rocket as soon as FID is complete. In the mean time I hope it finds a bottom pretty sharpish. |
And combine that with some leaky advisor’s tipping off their mates no doubt. |
The market realises that although there is an interest from lenders to fund a percentage of the project cost, there will also be a requirement for a percentage of equity finance, and I think that is what is scaring them.
Problem is, that becomes a self-fulfilling prophesy! |
From the 14 Nov RNS:
“ Project finance for the Villeta Project continues to make good progress for what is expected to be a world-first project of its kind, with care being taken especially as the Company is determined that the eventual structure delivers material upside for shareholders”
I guess the market doesn’t believe it. Let’s hope the PL factor is not applicable this time !! |
We are lining up lenders for the projects. I thought that the company was making steady progress on all fronts - site, design, 100% take-up of planned output, engineers, etc. Maybe it’s impatience, but Olivier seems to be doing a good job. |
